RESOLUTION NO. 2148
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AZUSA,
LOS ANGELES COUNTY, CALIFORNIA, ORDERING A CERTAIN
COMMUNICATION DATED NOVEMBER 3, 1947, SIGNED BY H. E.
BENDER, PRESIDENT OF THE AZUSA ROCK AND SAND COMPANY,
PLACED ON FILE IN THE OFFICE OF THE CITY CLERK.
RESOLVED, that that certain communication dated the 3rd
day of November, 1947, signed by H. E. Bender, President of the
Azusa Rock and Sand Company and directed to the City Council
in reference to the purchase and sale of tax deeded properties
in Tract 8507, be placed on file in the office of the City'Clerk
for identification and reference and incorporated herein as
fully as though set forth at length; and .
BE IT FURTHER RESOLVED, that the terms and conditions as
set forth therein are hereby approved by the City Council and
accepted by this Council on behalf of the City; and
BE IT FURTHER RESOLVED; THAT THE City Clerk is hereby
AUTHORIZED AND INSTRUCTED TO DEPOSIT THE CERTIFIED CHECK in the
sum of $30,356.66, accompanying said communication, in the
SPECIAL TAX DEEDED FUND.

meeting of said Council of said City held in the regular council chambers

Enclosed please find certified check made payable to the City of Azusa in the
sum of $30,356.66. You are hereby authorized to use said check on the following terms
and conditions:
1. That the City will immediately exercise its right to purchase the State's
tax title to all parcels of State tax deeded property situate in Tract 8507, and as said
parcels are more fully described in that certain Agreement made and entered into by and
between the City of Azusa and the Board of Supervisors, Los Angeles County, and numbered
Agreement No. 384.
2. That the City will promptly advertise for sale, in accordance with the pro-
visions of its ordinances, all property situated in Tract 8507 tax deeded to the City for
its own taxes, and as to which properties the right of redemption has been terminated, and
to include in said notice of sale all properties in said tract to which the City has re-
ceived the State's tax deed thereto.
3. That at the said sale of said properties, the undersigned agrees to bid a
minimum amount of $50,000.00 for the tax titles held by the City because of its own delin-
quent taxes, plus an additional sum equal to the amount of the cost to the City in the
acquisition of State tax titles to said property, viz, a total of $81,000.00. It is under-
stood, of course, that a proportionate reduction will be made in the amount of said
$81,000.00 bid in the event the City is unable to deliver the County and State tax title
to any of these lots because of redemption or for other reason occuring in the interim.
4. That in the event the undersigned fails to bid as herein set forth, or is not
the successful bidder, then it is understood and agreed that the undersigned shall not be
entitled to a refund of the money deposited herewith until such time as the City, pro-
ceeding with reasonable diligence, has sold said properties. This is conditional upon the
City's proceeding with reasonable diligence to sell said properties held by it under the
City and State tax titles. In case the City does not proceed with reasonable diligence to
sell said properties, our company shall be entitled forthwith, to a refund by the City of
the amount hereby deposited. However, in the event and just as soon as the City sells
said properties to someone other than ourselves, the amount of our deposit herewith made,
shall be immediately refunded to the undersigned.
5. That in the event the undersigned is the successful bidder for the proper-
ties at the sale herein provided to be conducted by the City, then the money deposited here-
with shall constitute a credit on the purchase price payable by the undersigned to the City
for said properties.

facture, strikes, boycotts, fires, embargoes, delays in transit, governmental regulations, acts of God, or to any other contingencies
of any sort whatsoever, beyond its control, whether such other contingencies are specifically enumerated or not.
