RESOLUTION NO. 747
A RESOLUTION OF THE REDEVELOPMENT AGENCY OF
THE CITY OF AZUSA APPROVING AMENDMENT NO. 2 TO
THE DISPOSITION AND DEVELOPMENT AGREEMENT WITH
ROGERS TOYOTA INC., AS ASSIGNED TO CLIFTON M.
ROGERS AND LILLIE MAE ROGERS, AND NOW DOING
BUSINESS AS ROGERS JEEP EAGLE.
WHEREAS, several residents along San Gabriel Place have
complained about employees of the Rogers Jeep Eagle dealership
parking on their residential street, testing autos on the street
and the practice of deliveries to the dealership being made on
the same street; and
WHEREAS, management of the Rogers Jeep Eagle dealership
wishes to cooperate with the Redevelopment Agency and nearby
residents in order to promote harmony in the neighborhood; and
WHEREAS, Amendment No. 2 to the Disposition and Development
Agreement (DDA) with Rogers Toyota Inc., as assigned, for the
construction of the Rogers Jeep Eagle dealership, has been
prepared to address the concerns of the nearby residents
NOW, THEREFORE, the Redevelopment Agency of the City of
Azusa does hereby resolve as follows:
Section 1. The Board of Directors of the Redevelopment
Agency of the City of Azusa hereby approves an agreement between
the Agency and the Rogers Jeep Eagle dealership contained
in Amendment No. 2 to the Disposition and Development Agreement
with Rogers Toyota Inc. and authorizes the Agency Chairman to
execute said Amendment No. 2 on behalf of the Agency in
substantially the same form as attached hereto as "Exhibit A."
Section 2. The Secretary shall certify the adoption of this
Resolution.
PASSED, APPROVED AND ADOPTED this 15th day of October, 1990
I HEREBY CERTIFY that the foregoing Resolution was duly
adopted by the Board of Directors of the Redevelopment Agency of
the City of Azusa, at a regular meeting thereof, held on the 15th
day of October, 1990 by the following vote of the Directors:

Proposal: 1) No employee parking allowed along San Gabriel Place.
2) No commercial trucks (for parts or car delivery)
permitted on San Gabriel Place.
3) No deliveries before 6:00 a.m. - in violation of
city's code "related to noise".
4) No employees of Rogers Jeep Eagle are permitted to
exit the San Gabriel gate. .
5) The San Gabriel gate will remain open during working
hours ( 7:00 a.m. to 6 p.m. ) as of today, September 20,
1990.

AMENDMENT NO. 2 TO THE
DISPOSITION AND DEVELOPMENT AGREEMENT
BY AND BETWEEN CITY OF AZUSA REDEVELOPMENT AGENCY
AND ROGERS TOYOTA INC., AS ASSIGNED
In accordance with the Section VIII C. of the Disposition and
Development Agreement ("DDA") by and between the City of Azusa
Redevelopment Agency ("Agency") and Rogers Toyota Inc.
("Rogers"), dated April 21, 1986 and as assigned by that certain
Assignment Agreement dated June 2, 1986 and recorded as
Instrument No. 87-736496, the Agency and Rogers enter into this
Amendment No. 2 to said DDA, dated October 15, 1990.
WHEREAS, the City of Azusa and the Azusa Redevelopment
Agency have received complaints from residents on San Gabriel
Place to the west of the Rogers Jeep Eagle dealership concerning
employee parking on San Gabriel Place, truck off-loading and use
of the dealership's rear gate that fronts on San Gabriel Place;
and
WHEREAS, Rogers desires to cooperate with the City, Agency
and nearby residents to promote harmony among its neighbors.
NOW THEREFORE, THE ABOVE REFERENCED DISPOSITION AND
DEVELOPMENT AGREEMENT IS HEREBY MODIFED AS FOLLOWS:
SECTION 1: Rogers agrees to prohibit employees from parking
on San Gabriel Place and agrees to prohibit employees from using
the rear, center gate that fronts on San Gabriel Place for
entering or exiting the dealership with vehicles for testing or
other purposes.
SECTION 2: Rogers agrees to prohibit commercial trucks from
making deliveries of parts, vehicles or other goods or services
on San Gabriel Place.
SECTION 3: Rogers agrees to schedule deliveries so that no
deliveries will be made prior to 6 a.m.

SECTION 4: Rogers agrees to limit the hours the gate on San
Gabriel Place will remain open to the hours between 7 a.m. and 6
p.m.
