HomeMy WebLinkAboutResolution No. 74590 0 RESOLUTION NO. 7459 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AZUSA APPROVING THE CONTRACT WITH LLOYD WOOD FOR SERVICES AS CITY ADMINISTRATOR AND SETTING COMPENSATION THEREOF WHEREAS, Section 2.08.030 of the Azusa Municipal Code provides that the City Administrator shall receive such compen- sation and expense allowances as the City Council shall from time to time determine or fix by ordinance or resolution; and WHEREAS, the City Council has appointed Lloyd Wood as City Administrator and hereby finds and determines that the contract for his services as City Administrator is within the best interests of the City; and NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Azusa as follows: Section 1. The contract between the City of Azusa and Lloyd Wood for services as City Administrator which is attached hereto as "Exhibit A" and by this reference incorporated herein as though set forth in full, and which provides for the compensation of the City Administrator, is hereby approved and the Mayor is authorized to execute said contract on behalf of the City. Section 2. The City Clerk shall certify the adoption of this resolution. PASSED, APPROVED AND ADOPTED this 19th day of March , 1984. atlus� Ov/ MAYOR I HEREBY CERTIFY that the foregoing Resolution was duly adopted by the City Council of the City of Azusa, at a regular meeting thereof, held on the 19th day of March , 1984, by the following vote of the Council: AYES: COUNCILMEMBERS: CRUZ, COOK, CAMARENA, LATTA, MOSES NOES: COUNCILMEMBERS: NONE ABSENT: COUNCILMEMBERS: AGREEMENT FOR EMPLOYMENT OF LLOYD WOOD This Agreement is made and entered into this 19th day of March , 1984, by and between CITY OF AZUSA ("CITY") and LLOYD WOOD ("WOOD"). RECITALS The parties hereto specifically agree and acknowledge that this Agreement has been entered into in light of the following facts: A. The CITY is desirous of hiring WOOD as City Administrator and WOOD is desirous of accepting a position with the CITY as City Administrator in addition to his current position as Chief of Police for the City of Azusa. B. Both parties specifically acknowledge that this arrangement will be of benefit to the CITY and to WOOD and will require additional work on the part of WOOD. C. WOOD specifically acknowledges that the position of City Administrator is not subject to the civil service system of the City of Azusa consisting of the provisions of Chapters 2.28, 2.32 and 2.36 of the Azusa Municipal Code and the "Rules of the Civil Service System" adopted by the Council (hereinafter "civil service system") and CITY specifically acknowledges that the position of Chief of Police is subject to the civil service system of the City of Azusa. 0 0 D. Both parties specifically acknowledge that the City Council has the absolute right to terminate WOOD for any reason from the position of City Administrator prior to the expiration of this Agreement, but that the City Council can only terminate WOOD from his position as Chief of Police in accordance with the rules of the civil service system. E. In the event that WOOD desires to leave the position of City Administrator or the Council wishes to terminate him from the position of City Administrator prior to the expiration of the Agreement, the parties each acknowledge and agree that it is necessary that he be retained as a consultant to the CITY for a period of sixty (60) days so as to assist in the transition to the next City Administrator. F. WOOD and CITY further acknowledge that if WOOD is terminated by the City Council from his position as City Administrator, he would return to his full-time position as Chief of Police with the loss of the additional salary and benefits paid to him pursuant to this Agreement for his work as City Administrator. -2- TERMS OF AGREEMENT NOW, THEREFORE, in consideration of the recitals and mutual covenants and conditions set forth herein, the parties do agree as follows: 1. WOOD shall serve as City Administrator of the City of Azusa for a period of five (5) years from the date of this Agreement in addition to his current position as Chief of Police. 2. As City Administrator, WOOD shall not be subject to the civil service system of the City of Azusa, however, the parties do specifically agree that WOOD shall retain his status as an a member of the classified service and be subject to the civil service system in the position of Chief of Police of the City of Azusa. 3. CITY has an absolute right to terminate WOOD from his position as City Administrator for any cause or reason prior to the expiration of this Agreement. 4. If the CITY terminates WOOD as City Administrator, WOOD shall serve as a consultant for the CITY and shall be paid the salary and benefits pursuant to paragraph 8 of this Agreement for a period of sixty (60) days following the effective date of termination. 5. If WOOD wishes to leave the position of City Administrator, he shall give written notice to the City Council of at least sixty (60) days prior to termination of his position as City Administrator. -3- 6. Wherever the Chief of Police is required to report to the City Administrator or the City Administrator is required to take some action with respect to the Chief of Police, the parties agree that WOOD shall report to the City Council and the Council shall take whatever actions are required. 7. If WOOD is terminated from the position of City Administrator by the City Council or leaves the position of City Administrator on his own volition, he shall remain as the full-time Chief of Police subject to the terms and conditions of that employment as set forth in the civil service system. 8. WOOD shall be paid, as the Chief of Police, monthly salary of $5,200.00, and receive the benefits paid to the highest paid department head (except that retirement benefits shall be paid into the public safety system of PERS) for his services under this Agreement. The salary and benefits of WOOD may be amended by mutual agreement of the parties and resolution of the City Council. If the parties are unable to agree on salary or benefits for WOOD either may terminate this Agreement in accordance with its pro- visions. -4- 0 0 9. In the event WOOD leaves or is terminated from the position of City Administrator his salary as Chief of Police shall be set by mutual agreement of the parties. In the event the parties are unable to agree, WOOD's salary shall be 108 higher than the then highest paid department head and WOOD shall receive the benefits of such department head for the period of one year after he leaves the position of City Administrator. 10. This Agreement shall expire five (5) years from the date hereof or upon mutual agreement of the parties, except as otherwise provided in this Agreement.
