A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AZUSA
AUTHORIZING THE CITY ADMINISTRATOR AND DIRECTOR OF
FINANCE TO CLOSE ALL CREDIT CARD ACCOUNTS WITH THE FIRST
INTERSTATE BANK OF CALIFORNIA AND TO OPEN NEW REVOLVING
CREDIT ACCOUNTS WITH AMERICAN EXPRESS TRAVEL RELATED
SERVICES CO., INC.
WHEREAS, the City of Azusa (hereinafter called "the City"), a municipal
corporation, desires to obtain Corporate Cards from the American Express Travel Related
Services Company, Inc. (hereinafter called "Amex") for use by certain of the corporation's
employees; and
WHEREAS, the City intends to authorize said employees to use such bank cards for
and in connection with the City's business; and
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AZUSA
DOES HEREBY RESOLVE AS FOLLOWS:
That it is in the best interests of the City of Azusa to close all Mastercards with the
First Interstate Bank and to obtain American Express Corporate Cards for use by City
officials.
2. That the City Administrator and/or the Director of Finance of the City of Azusa are
authorized, on behalf of this municipal corporation, to:
(a) Terminate the revolving credit contract with the First Interstate Bank of
California;
(b) Enter into a contract with American Express for Corporate Cards.
(c) Designate who may receive and use such Corporate Cards issued on behalf of
this municipal corporation.
(d) Execute security agreements with respect to this municipal corporation's
corporate card account.
(e) Otherwise bind this municipal corporation with respect to its corporate card
account.
3. That this authorization shall be deemed retroactive and that any acts authorized and
any obligations incurred or assumed by the above -designated officers with respect to
corporate card accounts prior to the passage of this Resolution are approved and
ratified.
4. This Resolution does not limit any other authority that any of this municipal
corporation's officers may otherwise have to act on its behalf.
5. This municipal corporation's Corporate Card Account shall be used for business
purposes only; however, if any non -business use occurs, the employee shall be fully
liable to Amex for such use.
6. This Resolution shall remain in effect until written notice of its revocation is received
by Amex at the address designated for notice in the contract with Amex and Amex has
had a reasonable period of time within which to act upon such notice.

adopted by the City Council of the City of Azusa on the 16th day of October, 1995 by
the following vote; that the Resolution is now in full force and effect and has not been
revoked or changed in any way; that the persons named below are the officer(s) referenced
in the Resolution; and that the signatures below are genuine and authorized:

I received and agree that the municipal corporation's Corporate Card Account will be
governed by the terms of Amex's Corporate Card System contract;

municipal corporation regarding its Corporate Card Account.
