RESOLUTION NO. 99—C31
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AZUSA WAIVING
FORMAL SEALED BIDDING AND AWARDING THE UPGRADE OF THE
ENVIRONMENTAL CONTROLS SYSTEM TO JOHNSON CONTROLS.
WHEREAS, Section 2-537 of the Azusa Municipal Code requires City purchases over the amount of $5,000 to be
awarded to the lowest responsible bidder after notice, and
WHEREAS, Section 2-536 of the Azusa Municipal Code requires the City Council to waive formal sealed bidding
procedures upon finding that the public welfare would be promoted by dispensing with them, and
WHEREAS, the Cityhas a need to upgrade its existing environmental controls system (Companion) to meet Year 2000
compliance standards, and
WHEREAS, the Department needs to upgrade its Companion hardware and software with a compatible system which
also meets its current and changing processing requirements, and
WHEREAS, Johnson Controls is a recognized industry leader and its M3 hardware and software are natural upgrades
to the existing components which have managed the Light & Water Administrative Facility's Heating and Air
Conditioning systems since 1995, and
WHEREAS, Johnson Controls is the sole vendor and implementor or the M3 software,
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AZUSA DOES HEREBY FIND AS
FOLLOWS:
Section 1. That conducting a formal "sealed" bidding process for the purchase of upgrades to the Call
Management, Conversant and Automated Account Information Systems would be impracticable,
useless and uneconomical and that the public welfare would be promoted by dispensing with them,
and
Section 2. That the formal "sealed" bidding process is waived, and
Section 3. That the upgrade of the Companion System to M3 be awarded to Johnson Controls in the
amount of $11,700, and
Section 4. That the Purchasing Officer is authorized to sign the various documents that are necessary
to effectuate the pp?cTr—erNnt and installation.

I HEREBY CERTIFY that the foregoing Resolution Nog 9 —C3 1 was duly adopted by the City Council
of the City of Azusa, at a regular meeting thereof, held on the I st day of MARCH, 1999 by the following vote of the
Council.
