SUBJECT: AUTHORIZATION TO TRANSFER EXISTING PROFESSIONAL SERVICES
AGREEMENT WITH HR GREEN CALIFORNIA, INC. TO HR GREEN PACIFIC,
INC.
SUMMARY:
HR Green California, Inc. is an on-call engineering consultant firm for the Department of Public Works.
The firm recently established a separate corporation by the name of HR Green Pacific, Inc. that will
focus on the public sector, whereas HR Green California, Inc. will transition its focus to the private
sector. As such, HR Green California, Inc.. is requesting authorization from the City to transfer its
existing professional services agreement to HR Green Pacific, Inc. The proposed actions will approve
the transfer of the existing professional services agreement to HR Green Pacific, Inc..
RECOMMENDATION:
Staff recommends the City Council take the following actions:
1)Approve the transfer of an existing professional services agreement with HR Green California,
Inc. to HR Green Pacific, Inc.; and
2)Authorize the Interim City Manager to execute a letter transferring the professional services
agreement to HR Green Pacific, Inc.., in a form acceptable to the City Attorney, on behalf of the
City.
DISCUSSION:
On May 6, 2015, the City entered into a professional services agreement with HR Green California, Inc.
to provide on-call professional engineering services for the Department of Public Works. The firm
recently established a separate corporation by the name of HR Green Pacific, Inc. that will focus on the
public sector whereas HR Green California, Inc. will transition its focus to the private sector. As such,
HR Green California, Inc. is requesting authorization from the City to transfer its existing professional
services agreement to HR Green Pacific, Inc..

Section 3.6.7 of the existing professional services agreement allows transfer of the agreement with
consent from the City. Transfer of the agreement will not create an adverse impact as key staff currently
providing engineering services to the City will continue providing the same services.
FISCAL IMPACT:
There is no fiscal impact associated with the recommended actions.

Dear Messrs Wentz and Stephenson:
In response to your request to transfer the existing Professional Services Agreement between the
City of Azusa and HR Green California, Inc. and in accordance with Section 3.6.7 of said
Agreement dated May 6, 2015, the City hereby authorizes and accepts the transfer of the
agreement to HR Green Pacific, Inc.. HR Green Pacific, Inc. understands that all terms of the
Agreement shall continue to be enforceable.
