AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF AZUSA
APPROVING THE TERMS AND CONDITIONS OF A POWER SALES
CONTRACT BETWEEN SOUTHERN CALIFORNIA PUBLIC POWER AU-
THORITY AND THE CITY OF AZUSA AND AUTHORIZING THE EX-
ECUTION OF AND DELIVERY OF SAID AGREEMENT BY OFFICERS
OF THE CITY OF AZUSA.
WHEREAS, pursuant to the provisions of Chapter 5, Division
7, Title 1 of the Government Code of the State of California, as a-
mended (the "Joint Powers Act") , the City of Azusa and certain oth-
er public agencies created pursuant to the laws of the State of Cal-
ifornia (collectively, the 'Members") , have entered into a Joint
Powers Agreement (the "Agreement") creating the Southern California
Public Power Authority (the "Authority") , a public entity separate
and apart from the Members; and
WHEREAS, in accordance with the Agreement and the Joint
Powers Act, the Authority has entered or will enter into agreements
to acquire an interest in a project for the generation of electric
energy, which project (the "Project") is to consist of an ownership
interest as tenant in common in the Palo Verde Nuclear Generating
Station, a nuclear steam electric generating station under construc-
tion in the State of Arizona, and capital improvements thereto that
may be constructed from time to time, and interests in certain other
properties and rights relating thereto; and
WHEREAS, the City of Azusa has need for an economical, re-
liable source of electric power and energy to meet the demands of the
customers of its electric system, and, as such, has deteremined that
it is desirable to enter into a Power Sales Contract (the "Power
Sales Contract") in the form submitted to this City Council and dated
for convenience as of July 1, 1981, to purchase electric capacity
and energy of the Project from the Authority; and,
WHEREAS, this City Council finds and determines that it is
in the best interests of the customers of the electric system of the
City of Azusa for the City of Azusa to purchase electric capacity
and energy of the Project from the Authority.
NOW, THEREFORE, the City Council of the City of Azusa does
ordain as follows :
1. The City Council hereby finds and determines that
the terms and conditions of the Power Sales Contract, in-
cluding the Project Entitlement Share of the City of Azusa
of Power Sales Contract (Exhibit A) be, and the same are
hereby, approved.
2. The Mayor of the City of Azusa is authorized to
execute and deliver said Power Sales Contract by and on
behalf of the City of Azusa.
3. Pursuant to Section 54241 of the Government Code
of the State of California, this Ordinance is subject to
the provisions for referendum applicable to the City of
Azusa.
4. The City Clerk shall certify to the enactment of
this Ordinance to be published in accordance with Section
54242 of the Government Code of the State of California.
5. Thirty (30) days from and after its enactment,
this Ordinance shall take effect and be in full force,
in the manner provided by law.

I, ADOLPH SOLIS, City Clerk of the City of Azusa,
do hereby certify that the foregoing Ordinance No. 2120 was
regularly introduced and placed upon its first reading at a
regular meeting of the City Council on the 2nd day of
November 1981. That, thereafter, said ordinance was duly adopted
and passed at an adjourned regular meeting of the City Council on the 9th
day of November, 1981, by the following vote to wit:
