MORROW, DIRECTOR OF UTILITIES DATE: JUNE 27, 2016 SUBJECT: REQUEST TO APPROVE EXTENSION OF PROFESSIONAL SERVICES AGREEMENT WITH UTILIWORKS CONSULTING TO PROVIDE ASSISTANCE IN NEGOTIATING CONTRACT WITH SENSUS USA FOR ADVANCED METERING INFRASTRUCTURE PROJECT SUMMARY: This action approves an extension to the Professional Services Agreement with UtiliWorks for an additional six months for continued assistance in negotiating a contract with Sensus USA for deployment of an Advanced Metering Infrastructure (AMI) project. RECOMMENDATION: Staff recommends that the Utility Board approve the following actions: 1) Approve an amendment to the Professional Services Agreement with UtiliWorks Consulting LLC extending the term of the Agreement through December 31, 2017, at no change in cost; and 2) Authorize the Mayor to execute the amendment to the Professional Services Agreement, in a form acceptable to the City Attorney, on behalf of the City. DISCUSSION: In October 2015, the Utility Board approved a contract with UtiliWorks Consulting LLC in amount of $53,000 to assist with the development of technical aspects relating to the contract with Sensus USA for an AMI project that would effectively replace all water and electric meters used by the utility and change how Azusa Light & Water (ALW) reads those meters. This project is also expected to modernize utility operations management and ongoing utilities infrastructure maintenance. UtiliWorks’ current contract obligations include the following deliverables: •Feedback on vendor contract Terms & Conditions and Statement of Work (SOW) for the “Pilot” project or “Proof of Concept” requirements •Gantt Chart or Project Schedule for Pilot Project D-4 APPROVED UTILITY BOARD 6/27/16 Contract Extension with UtiliWorks Consulting LLC June 27, 2016 Page 2 • Systems Acceptance criteria for Pilot Project • Cost for Pilot Project • Feedback on vendor contract Terms & Conditions and SOW for Full Deployment (including, but not limited to, Materials, Meters, Communication Network, Meter Data Management System, Integration, Vendor Project Manager, Professional Services, Terms and Conditions for On-going Support and Maintenance Services, Annual Licensing Costs, Network and System Performance Standards; Specifications and Quantities for Meters, Water Meter Lids, and Communication Components; Pricing for Equipment, Materials, Labor and Professional Services; and Equipment and Material Warranties.) • High level Systems Integration Requirements for Pilot and Full Deployment (Visio diagram) • Gantt Chart or Project Schedule for Full Deployment • Systems Acceptance criteria for Full Deployment • Cost for Full Deployment • Specifying Participant Responsibilities • Memorandum outlining cost/benefit of project The AMI contract being developed with Sensus has taken more time to negotiate and assemble than was originally expected. There are two subcontractors involved, MeterSense and Utility Partners of America (UPA), and the scopes of work for these two subcontractors had to be detailed, in addition to the prime contractor’s scope of work. The ALW negotiating team also challenged certain prevailing wage issues as part of this process and sought a special prevailing wage determination for this project from the Department of Industrial Relations (DIR) which ALW received in March; this determination will likely to save a significant amount of money as the project moves forward. Staff estimates that the work by UtiliWorks is about 80% complete, however, more time is needed to complete the Statements of Work, Acceptance Criteria for the Pilot, and to fulfill the City’s legal requirements for contracts of this nature. Staff estimates completion of contract documents within the next 3 to 6 months. FISCAL IMPACT: There is no fiscal impact associated with the recommended action.
