Section II(B)(1) of the contract calls for a Business Plan from the City of Azusa in order to receive a public, educational, and governmental access facilities and equipment grant. This grant will provide the City with$100,000 to purchase and install PEG(public, educational, and government)related capital improvements and equipments. Attached for you approval and adoption is a copy of the Business plan. Upon the adoption of this plan, staff will take the necessary step to complete the process. RECOMMENDATION Staff recommends adoption and approval of the Business Plan for between the City of Azusa and Charter Communications, Inc. /40 0 ( //e4-7 0/4,-//n 7 City of Azusa Business Plan Initial PEG Grant 1. Purpose The purpose of this business plan is to guide the use by the City of Azusa (hereinafter, "Grantor") of the funds associated with the "Initial PEG Grant,"provided by Charter Communications pursuant to Section 11(B)(1) of the Franchise Agreement dated October 16, 1995, as modified by the "First Amended Certificate of Closing Pursuant to Paragraph 18(B) of Franchise Agreement" dated October 16, 1995. For the purposes of this Business Plan, the City Administrator of the City of Azusa or his or her designee shall be solely authorized to represent, initiate, authorize, direct, interpret, limit and perform or not perform any action or make any determination as may be required or authorized by this Business Plan on behalf of Grantor. 2. Community Participation Grantor's Staff should identify community resources, including but not limited to community leaders, educational institutions, and other resources generally available to the Grantor, to guide Grantor in selecting equipment and installation services. 3. Initial PEG Grant Funds to be Expended Expeditiously The PEG Grant funds should be expended expeditiously. Until expended, PEG Grant funds shall be kept in a separate Grantor account or fund controlled by the City Treasurer. The City Administrator or his or her designee shall have sole authority to expend funds from the PEG Grant account or fund. 4. Use of Equipment Funded by Initial PEG Grant The equipment purchased by funds provided by the Initial PEG Grant shall be used for pubic, educational, and governmental programming production, storage, and playback, and related functions, as may be determined solely by the Grantor. Location of Equipment and Improvements Funded by Initial PEG Grant The equipment purchased and the capital improvements funded through the Initial PEG Grant may be stored, installed, located, and utilized at any location as may be determined solely by the Grantor. 6. Public Use of Equipment and Improvements Funded by Initial PEG Grant The Grantor shall have sole control over the use of equipment and improvements funded by the Initial PEG Grant. Such control shall include, but not be limited to, Grantor's sole right to determine when and if such equipment and or facilities shall be utilized, and the manner in which they will be utilized and not utilized, and when permission to utilize equipment and facilities shall be considered, granted, rejected, modified, revoked, and terminated. 7. PEG Equipment and Facilities Usage Rules The Grantor shall have sole right to establish or not to establish formal or informal rules, regulations, requirements, and any conditions controlling and limiting the use of equipment and improvements funded by the Initial PEG Grant. 8. PEG Utilization Records and Reports The Grantor solely shall determine what records and reports must be kept and provided, if any, in connection with the expenditure of Initial PEG Grant funds, and any subsequent records and reports of utilization of equipment and facilities funded by the Initial PEG Grant, if any. 9. Commingled Equipment and Facilities The Grantor may commingle Initial PEG Grant equipment and facilities with equipment and facilities provided by funds and/or sources separate from the Initial PEG Grant. Such commingled equipment and facilities shall not be subject to any restrictions, limitations, or any other encumbrances as may be defined by the Franchise or modifications thereto. 10. Modification of This Business Plan The Grantor shall at all times have the sole right to modify, add, and delete in any manner any element of this Business Plan. 11. On-Going Support The Grantor shall, from time to time, allocate sufficient revenues from any source which it determines appropriate to fund, in an amount determined by Grantor,the costs of personnel, supplies and maintenance associated with the activities described above.
