Dear Charlie:
As we have discussed, Cable TV Fund 10-C, i.e. Jones Intercable, has requested
a five year extension on the existing Azusa cable television franchise. This
will extend the franchise until and including January 2, 1995.
In return for the five year extension, Jones Intercable agrees to the following:
1. The granting of an indemnification agreement which holds harmless the
City of Azusa, its officers and employees, from and against any claims,
demand, loss or liability arising from or relating to the extension.
2. The payment of $160.00 per month for the lease of a site described as
"the depression south of well no. 7, in the spreading grounds well
and reservoir site." In addition, Jones Intercable proposes that the
City of Azusa has the right to review the monthly rental fee, and if
so opts, may adjust the monthly rate to reflect one hundred percent
(100%) of the yearly CPI. This review may be performed annually
throughout the lease term, and any adjustments will be effective on
the anniversary date of the lease. We request the term of the lease
run concurrent with the term of the franchise.
3. Building, outfitting and maintaining a studio in Jones Intercable's
new office, and repairing and refurnishing the local origination
van for on-site videotaping.
In addition, Jones Intercable will purchase one (1) Z" Porta-Pak
kit which will be available upon request to non-profit organizations.
Jones Intercable will provide instruction on use and will air the
programs on the public access channel in accordance with Jones
Intercable's Public Access Channel Rules.
The Porta-Pak kit will include the following:

Jones Intercable will continue to produce programming for its local
channel. Coverage will include city council meetings, Golden Days,
and school or local interest events. We are committed to the best
local programming for the City of Azusa.
I will be calling you next week to finalize the details prior to the September 19
city council meeting.

PURPOSE:
Review rent for Jones Intercable.
FACTS:
1. The City granted an Encroachment Permit to Cable Service
of Azusa effective March 6, 1979 (copy attached) .
2. Conditions of the permit include:
a. Permit to expire in five years (March 6, 1984) .
b. Fee of $50 per month and City Council reserves the
right to modify the fee at the end of the first year.
3. Agreement has been reached with the current operator,
Jones Intercable, to increase the fee to $160 per month
effective October 1, 1983 .
4. The rental fee is to be adjusted each July 1 by the
Consumer Price Index increase.
5 . The Public Works Director and Jones Intercable have each
made improvements at the site and agree that their needs are
met.
6. This rental agreement will continue in force as long as
the franchise, subject to ninety (90) days notice of
cancellation of the Encroachment Permit .
RECOMMENDATION:
Approve fee increase from $50 to $150 per month, adjusted each
July 1 per the Consumer Price Index.

2. A fee of $50.00 per month will be charged by the City for the use of
the site, approximately 300 square feet, along with the use of the City's
easement leading to the water facility site. The City Council reserves
the right to modify the fee at the end of one (1) year.
3. Permitee hereby agrees to indemnify and hold harmless the City of Azusa
from any and all liability, claims or damages arising out of the use of
this permit and facilities constructed on the premises.
4. Permitee hereby agrees to include the City as an additional named
insured on its liability policy covering this facility.

use of the present site and have agreed upon the following:
a. Jones to move fencing closer to microwave disks.
b. City to excavate and channelize around equipment building.
c. City to evaluate the result of these improvements and report
to City Council regarding extending or terminating the
Encroachment Permit by October 1, 1983.
RECOMMENDATION:
Approve fee increase from $50 to $100 per month and work by both
parties at permit site.
