SUBJECT: APPROVAL OF THE FIRST AMENDMENT TO THE MEMORANDUM OF
UNDERSTANDING BETWEEN THE CITY OF AZUSA AND THE AZUSA UNIFIED
SCHOOL DISTRICT (AUSD) FOR THE USE OF THE CIVIC AUDITORIUM TO
CONDUCT, BROADCAST AND RECORD THE AUSD BOARD OF EDUCATION
MEETINGS
BACKGROUND:
In November 2017 the Azusa City Council approved a Memorandum of Understanding (MOU) between
the City and the Azusa Unified School District for the use of the civic auditorium to conduct public Board
of Education meetings for the purpose of publicly broadcasting the meetings on the City’s PEG-TV
Channel.
The length of the Agreement was for two-years in which both parties had the option to extend the
agreement by two separate single year terms. Both the City and the Azusa Unified School District are in
agreement that this MOU meets and reflects the requirements for the recording and public broadcasting of
the Board of Education meetings on the City’s PEG-TV Channel.
RECOMMENDATION:
Staff recommends that the City Council take the following actions:
1)Approve and authorize the City Manager to sign the First Amendment to Memorandum of
Understanding with the Azusa Unified School District for the use of the Civic Auditorium for the
purpose of recording and broadcasting on the City’s PEG-TV Channel a limited amount of Board
of Education meetings.
ANALYSIS:
Several municipalities in Southern California allow their respective school districts to use their Council
Chambers for their school board meetings. These cities include: Hermosa Beach, Simi Valley and
Ventura. Some of these same cities also televise the school district meetings on their PEG-TV channels.

CITY OF AZUSA
FIRST AMENDMENT TO
MEMORANDUM OF UNDERSTANDING FOR USE OF THE AZUSA CIVIC
AUDITORIUM BY THE AZUSA UNIFIED SCHOOL DISTRICT FOR REGULAR
SCHOOL BOARD MEETING
This First Amendment to the Memorandum of Understanding Agreement (“First
Amendment”) is entered into on the 7th day of November 2019, by and between the CITY OF
AZUSA (hereinafter referred to as the “City”) and Azusa Unified School District (hereinafter
referred to as the “District”). City and District are sometimes individually referred to herein as
the “Parties.”
RECITALS
A.The Parties entered into that certain MOU Agreement dated November 7, 2017
(“Agreement”).
B.The Parties now desire to amend the MOU Agreement in order to extend the
MOU Agreement Terms. Parties may exercise the option to extend the Agreement by two
separate (2) single-year terms. This is 1 of 2 year terms. Amendments are also made to Use of
Facility; Custodial Costs; Use of Audio/Video Equipment as outline below.
C.Except as expressly provided herein, all other terms and conditions of the
Agreement dated November 7, 2017 shall remain in full force and effect.
NOW THEREFORE, THE CITY AND THE DISTRICT AGREE AS FOLLOWS:
1.Incorporation of Recitals. The recitals of fact set forth above are true and correct and
are incorporated into this Agreement in their entirety by this reference.
2.Term. Pursuant to Section 2 of the MOU Agreement, the City hereby exercises the
option to renew the MOU Agreement and extend the term of the MOU Agreement for 1 year
term from November 7, 2019 to November 7, 2020, unless earlier terminated as provided in the
Agreement.
3. Use of Facility. The City shall make the Auditorium available to the District for no more
than two (2) regular public meetings per month, and no more than a total of twenty-four (24)
regular public meetings per calendar year. The District shall not use the Auditorium to hold
special meetings, workshops, or any other meeting. Within the Auditorium are restroom facilities
available for use during the District’s meetings. The District’s use of City facilities under this
Agreement shall be limited to the Auditorium and the Council Closes Session Office and shall
not be construed to include other facilities in the City.
4.Custodial Costs. The District shall pay the City for use of custodial services used by the
City at the cost of forty dollars ($40) per hour for every meeting that the District holds in the
Auditorium; and thirty dollars ($30) for each use of the City Council Closed Session office. The

City shall not incur any cost associated with the District holding meetings in the Auditorium or
Council Closed Session office
5. Use of Audio/Video Equipment. All broadcasting equipment for recording and
broadcasting purposes will be made available. The broadcast will be transmitted “live” on the
City’s PEG-TV Channel the day of the meeting. Re-broadcasting of the meeting on the City’s
PEG-TV Channel can occur once the current Baker’s Man technician has undergone training to
schedule the recorded meetings for on-air playback. The City will provide a “live” high-
definition signal via HDMI to the District’s IT Director of Technology to capture the program
for use on the Districts social media sites or any “live” or on-call Internet streaming platform that
the District selects. The District shall not utilize the City’s Internet (Granicus) streaming
platform. The City is not responsible, in the event, an event is not properly scheduled by the
contracted technician.
IN WITNESS WHEREOF, the parties have executed this First Amendment to MOU
Agreement on this ____ day of __________, 2019.
