SUBJECT: APPROVAL OF FIRST AMENDMENT FOR THE PROFESSIONAL SERVICE
AGREEMENT BETWEEN WEST COAST SHOPPING CART RETERVIAL SERVICE
AND THE CITY OF AZUSA.
BACKGROUND:
The City provides abandoned shopping cart retrieval services through a contractual agreement with
West Coast Shopping Cart Service. The agreement with West Coast Shopping Cart Service expired at
the end of 2019. The proposed action will authorize Staff to extend the current agreement for two, one
(1)year extensions for abandoned shopping cart retrieval services.
RECOMMENDATION:
Staff recommends that the City Council take the following action:
1) Approve the First Amendment to the Professional Service Agreement with West Coast Shopping
Cart Services and the City of Azusa; and
2) Authorize (2) two, one year extensions; and
3)Authorize the City Manager to execute the First Amendment, in a form acceptable to the City
Attorney, on behalf of the City.
ANALYSIS:
West Coast Shopping Cart Services has been providing abandoned shopping cart retrieval services for
the City since October 2018. From February 2019 to February 2020, West Coast retrieved 2,627
abandoned shopping carts throughout the city. Since working with West Coast Shopping Cart Services,
the Community Improvement Division has not received any complaints with respect to cart retrieval or
their operational procedures. The Community Improvement Division is and has been pleased with the
partnership which has been developed between West Coast and the City. Their agreement with the City

expired at the end of October 2019 and the City is currently on a month to month basis with the
Corporation. The required services and performance requirements are described in the Scope of Services
section of the current Professional Service Agreement (Attachment 1).
City staff is very pleased with the quality of services provided by West Coast Shopping Cart Services.
The recommended actions approves two (2) one year extensions pursuant to section 3.1.2 of the
professional services agreement parties may by mutual written consent, extend the term of this
agreement. This would extend the term through October 31, 2021.
FISCAL IMPACT:
The fiscal impact associated with the extension is $14,400 annually. The cost of shopping cart retrieval
services is included in the Fiscal Year 2019/20 adopted budget. Moving forward, Staff will continue to
budget for shopping cart retrieval services.

CITY OF AZUSA
FIRST AMENDMENT TO
PROFESSIONAL SERVICES AGREEMENT
FOR ABANDONED SHOPPING CART RETRIEVAL SERVICES
1. PARTIES AND DATE.
This First Amendment to the Agreement for Abandoned Shopping Cart Retrieval
Services (“First Amendment”) is entered into on the _16th_ day of _March_, 2020, by and
between the City of Azusa (hereinafter referred to as the “City”) and West Coast Shopping Cart
Service Inc. (hereinafter referred to as the Contractor. City and Contractor are sometimes
collectively referred to herein as the “Parties.”
2. RECITALS.
2.1 Agreement. The Parties entered into that certain Agreement for abandoned
shopping cart retrieval service dated October 25, 2018 (“Agreement”).
2.2 First Amendment. The Parties now desire to amend the Agreement in order to
Extend the Agreement for an additional two (2) one-year terms
3. TERMS.
3.1 Term. Pursuant to Section 3.1.2 the term of this Agreement, the City hereby
exercises the option to renew the Agreement and extend the term of the Agreement from March
16, 2020 to March 31, 2022, unless earlier terminated as provided herein. Contractor shall
complete the Services within the term of this Agreement, and shall meet any other established
schedules and deadlines. The Parties may, by mutual written consent, extend the term of this
Agreement if necessary to complete the Services.
3.1 Remaining Provisions of Agreement. Except as otherwise specifically set forth in
this First Amendment, the remaining provisions of the Agreement shall remain in full force and
effect.
