SUBJECT: APPROVAL OF FIRST AMENDMENT FOR MAINTENANCE SERVICES
AGREEMENT BETWEEN THE CITY OF AZUSA AND CROSSTOWN
ELECTRICAL & DATA, INC.
BACKGROUND:
The City has contracted with Computer Services Company (CSC) for traffic signal maintenance services
since May 1, 2019. As of March 31, 2020 CSC has been acquired by Crosstown Electrical & Data, Inc.
RECOMMENDATION:
Staff recommends the City Council take the following actions:
1)Approve the First Amendment to the Maintenance Services Agreement between the City of
Azusa and Crosstown Electrical & Data, Inc., formerly Computer Services Company, for City-
wide traffic signal maintenance services; and
2)Authorize the City Manager to execute the contract amendment, in a form acceptable to the City
Attorney, on behalf of the City.
ANALYSIS:
On May 1, 2019, City Council awarded the City-wide traffic signal maintenance services agreement to
Computer Services Company (CSC). CSC has been providing quality traffic signal maintenance
services and is they are considered an essential service in a state of emergency.
As of March 31, 2020, CSC has been acquired by Crosstown Electrical & Data, Inc. (Crosstown).
Crosstown will continue to utilize the same staff and operate out of the same facility here in the City of
Azusa. This acquisition will also expand services provided to the City including fiber optic
communications which are currently being installed throughout the City.

FIRST AMENDMENT TO MAINTENANCE SERVICES AGREEMENT
BETWEEN THE CITY OF AZUSA
AND
CROSSTOWN ELECTRICAL & DATA, INC., FORMERLY COMPUTER SERVICE
COMPANY
ARTICLE 1. PARTIES AND DATE
This first amendment to the Maintenance Services Agreement (“First Amendment”) is
entered this 1st day of April 1, 2020, by and between the City of Azusa (“City”) and Crosstown
Electrical & Data, Inc. (“Contractor”), formerly Computer Service Company.
ARTICLE 2. RECITALS
2.1 WHEREAS, the City and Contractor entered into a three year Maintenance
Services Agreement dated May 1, 2019 (“Agreement”) for Contractor to provide Traffic Signal
maintenance and repairs (“Services”) for the City of Azusa; and
NOW, THEREFORE, THE PARTIES DO HEREBY AGREE TO THE FOLLOWING:
1. 1. Parties and Date. The following changes shall be made to the first
paragraph of Section 1:
A.“Computer Services Company, with its principal place of business at 855
Todd Avenue, Azusa, CA 91702” to be replaced with “Crosstown Electrical
Data, Inc. with its principal place of business at 855 Todd Avenue, Azusa, CA
91702”
2.Continuing Effect of Agreement: Except as amended by this First Amendment,
all provisions of the Agreement shall remain unchanged and in full force and effect. From and
after the date of this First Amendment, whenever the term “Agreement” appears in the
Agreement, it shall mean the Agreement as amended by this First Amendment.
3.Adequate Consideration: The Parties hereto irrevocably stipulate and agree that
they have each received adequate and independent consideration for the performance of the
obligations they have undertaken pursuant to this First Amendment.
4.Counterparts: This First Amendment may be executed in duplicate originals, each of
which is deemed to be an original, but when taken together shall constitute but one and the same
instrument.
