HomeMy WebLinkAboutE-11 Staff Report - First Amendment to PSA - Project Dimensions IncCONSENT ITEM E-11 TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL VIA: SERGIO GONZALEZ, CITY MANAGER FROM: MATT MARQUEZ ECONOMIC AND COMMUNITY DEVELOPMENT DIRECTOR DATE: APRIL 20, 2020 SUBJECT: FIRST AMENDMENT TO PROFESSIONAL SERVICE AGREEMENT BETWEEN CITY OF AZUSA AND PROJECT DIMENSIONS INC., TO SERVE AS THE CITY’S OWNER’S REPRESENTATIVE FOR THE PROMENADE AT CITRUS (890 THE PROMENADE) SUMMARY: On February 4, 2019, the City Council approved a Professional Service Agreement with Project Dimension Inc. (PDI) to serve as the City’s Owner’s Representative for The Promenade at Citrus (890 The Promenade) for a term of (1) one year. The agreement has expired since. Further, PDI is requesting approval of the addition of key personnel. The recommended actions approve the First Amendment to the Professional Services Agreement with Project Dimensions Inc. RECOMMENDATION(S): Staff recommends the City Council take the following actions: 1)Approve the first amendment to the Professional Services Agreement with Project Dimensions Inc. to serve as the City’s Owner’s Representative for The Promenade at Citrus (890 The Promenade); and 2)Authorize the City Manager to execute an amendment, in a form acceptable to the City Attorney, on behalf of the City. DISCUSSION: On February 4, 2019, the City Council approved a Professional Service Agreement with Project Dimension Inc. (PDI) to serve as the City’s Owner’s Representative for The Promenade at Citrus (890 The Promenade) for a term of (1) one year. The agreement expired on February 3, 2020. Although the City has made significant progress in the planning, leasing and development of The Promenade at Citrus, additional time is needed to complete Phase 2 of the scope of work which includes leasing phase APPROVED CITY COUNCIL 4/20/2020 Approve First Amendment to PSA with Project Dimensions Inc. April 20, 2020 Page 2 activities such as meeting with potential tenants to discuss lease terms and space planning. PDI has been an integral part of the leasing of The Promenade at Citrus. They’ve facilitated conversations on behalf of the City and are assisting in the drafting of the lease documents. In addition, PDI is requesting approval of additional key personnel. At the start of the project, it was anticipated the project would be completed during the allotted time frame and with the assigned personnel. However, given the project is taking longer than anticipated to complete, PDI is requesting an additional staff member be added to their key personnel to ensure they continue to deliver its services to the City in a timely manner. The addition of key personnel does not constitute a change in the contract amount. The recommended actions approve a (1) one year extension and the addition of key personnel. FISCAL IMPACT: There is no fiscal impact related to the recommended actions. The compensation for the agreement will not increase as a result of the term extension or the addition of key personnel. CITY OF AZUSA FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT FOR THE PLANNING, LEASING AND DEVELOPMENT SERVICES FOR THE PROMENADE AT CITRUS 1.PARTIES AND DATE. This First Amendment to the Professional Services Agreement for the Planning, Leasing and Development services for The Promenade at Citrus Project (“First Amendment”) is entered into on the ____ day of ________, 2020, by and between the City of Azusa (hereinafter referred to as the “City”) and Project Dimensions Inc. (hereinafter referred to as the “Consultant”). City and Consultant are sometimes collectively referred to herein as the “Parties.” 2.RECITALS. 2.1 Agreement. The Parties entered into that certain Agreement for the Planning, Leasing and Development Services dated February 4, 2019 (“Agreement”). 2.2 First Amendment. The Parties now desire to amend the Agreement in order to extend the term of the Agreement for an additional one-year term; and revise key personnel to include additional staff. 3.TERMS. 3.1 Term. Section 3.1.2 of the Agreement is hereby amended to read as follows: The term of this Agreement shall be from February 3, 2020 to February 3, 2021, unless earlier terminated as provided herein. Consultant shall completed the Services within the term of this Agreement, and shall meet any other established schedules and deadlines. The Parties may, by mutual consent, extent the term of this Agreement if necessary to complete the Services. 3.2 Substitution of Key Personnel. Section 3.2.4 of the Agreement is hereby amended to include Chris Larsen, Senior Project Manager at the following hourly rate: $160 Per Hour. 3.3 Remaining Provisions of Agreement. Except as otherwise specifically set forth in this First Amendment, the remaining provisions of the Agreement shall remain in full force and effect.
