RECOMMENDATION:
Approve the transfer of funds from Police Department asset seizure account for the purchase of
Emergency Operations Center (E.O.C.) multi-media projector, DVD, VCR, and lectern from
Minnesota Western.
BACKGROUND:
The E.O.C.is a multi-purpose conference room. Although its main purpose is to have the capability
to support response in the event of a disaster, it is also used as a meeting and training room:
1) Multi-media equipment becomes paramount during a disaster or Police event. Response
would be enhanced as a result of having the capability to give city personnel an immediate first-hand
look at damages or areas of concern taken from television news releases, video or digital cameras.
2) Meeting room and training capabilities would be improved for various uses, such as EOC
training, computer training, and law enforcement tactical and drug enforcement briefings.
3) Multi-media equipment would support the use of photographic and presentation graphics
software programs such as PowerPoint.
FISCAL IMPACT:
Total price is $22,578.06. Funds exist in the Police Department Asset Seizure account and
would not impact the City's General Fund.

Attached is the Summary of Requisition Quotation for the E.O.C.'s multi-media projection
equipment, as well as an Agenda Item for the next Council meeting. Please feel free to make any
changes to the Agenda Item.
I urge you to support Minnesota Western even though they came in as the second lowest bidder.
They worked very hard and quickly to respond to my requests, and most importantly, are very
knowledgeable about the needs of an emergency operations center. They have done work for the
L.A. County Sheriff's E.O.C., the City of Whittier's Computer training room, L.A. CRC,
and installed a satellite tracking system at the El Toro military base. The difference in price is
primarily due to their choice of lectern. They did not recommend using the Da-lite product the
other two bidders quoted on, due to their familiarity with the quality of this product. They
recommended using a Forbes product which would not have to be altered to do what we needed
it to do, nor compromise a professional appearance.
The lowest bidder is not my choice for several reasons. They were slow to respond to my
requests, returned with a second team to assess the E.O.C., had difficulty following my
instructions, requested an extension of time to submit their bid and as a result have delayed this
project's time-line. They also did not send me any information on Maintenance Agreements. In
summary, I have concerns about their technical abilities, communications skills, and customer
service.
If you are interested in an extended warranty agreement, Minnesota Western offers a one year
agreement for an additional $2,414.28 per year.

MINNESOTA WESTERN'S GURANTEED MAINTENANCE AGREEMENT
The visual presentation systems offered to City of Azusa Police Department,on quote number#, is covered by
the manufacturer against defects, for a period of one year.This warranty shall commence upon receipt of
equipment. Minnesota Western offers additional service agreements, listed below,that would assure the proper
care of your system allowing you to have good quality presentations at all times.

SCOPE OF WORK
Minnesota Western, Inc. will install an audio/visual presentation system in the
Emergency Operations Center at the Azusa Police Department. The system will include
the following: VCR, DVD player, video switcher, mixer/amplifier, and laptop
connection. All equipment will be housed in a custom lectern located at the right, front
of the room. This lectern will be mobile and will connect to a custom wallplate, also
located at the front of the room. All cabling from the wallplate to the projector will be
provided and installed by Minnesota Western, Inc. Additional video run from IMAX to
Operations Center will also be installed.
Minnesota Western, Inc. will provide and install an Epson 7300 XGA LCD projector in
an electric ceiling lift that will project all video and computer sources to an existing 92"
wide screen.
The audio will be high quality mono distributed sound system using ceiling mounted
speakers. Sources will include a VCR, DVD player, and computer audio.
Minnesota Western, Inc. will perform all labor and provide all necessary equipment to
satisfy this scope of work.
ASSUMPTIONS:
1) The area above the ceiling where the projector lift will be located is free of air vents,
water pipes, and ceiling lights.
2) A 110 volt AC junction box will be located above the drop ceiling near the area of the
mounting location of the unit.
3) The A/V equipment will be on dedicated breakers.
4) The location of the lift control switch will be near the screen control. The exact
location will be determined at a future site visit by Minnesota Western, Inc.
5) All cabling above the drop ceiling is to be non-plenum rated unless otherwise
specified.
EXCLUSIONS:
1) AC power above drop ceiling for the LCD projector and lift will be provided by
others.
2) Installation of lift control switch will be provided by others.
3) Moving lights, airducts, and any waterpipes will be done by others.

Preventative Maintenance & Extended Warranty Agreement
This agreement is made and entered Into today, , 1998, by and between Westek
Presentation Systems, Inc., located at 6224 Ferris Square, San Diego, California 92121, and
herein referred to as"Westek", and City of Azusa--Policie Department located at Address,
hereinafter referred to as the"Client".
Westek and the Client, in consideration for this agreement and the mutual covenants herein
contained, agree as follows:

Extended Warranty: Upon payment to Westek under this agreement, Westek agrees to extend
the manufacturer's warranty during the term of this agreement. Our obligation under this
warranty is expressly limited to making good to the original purchaser, during the warranty
period described herein, any part or parts, which our examination shall disclose to our
satisfaction, to be in need of repair or replacement to extend operation under the warranty, to be
inclusive of parts, labor and shipping charges as outlined, and as limited within this agreement.
• This extended warranty is the only warranty provided by Westek, expressed or implied, and we
neither assume nor authorize any other person to assume for us any other liability in connection
• with the sale.
Pre-Inspection: Westek reserves the right to Inspect all equipment to be covered by the
agreement to determine that it Is in good mechanical condition prior to the sale of the
agreement. Any repairs found during the pre-inspections will not be covered under this
agreement. Westek will not require a pre-inspection of the above named equipment if the
agreement is purchased within 5 days of the pre-inspection. If the agreement is not purchased
at the time of the pre-inspection, the pre-inspection fee will be $45.00.
Term: This agreement shall provide the described warranty for a period of one (1) year from
the date of the purchase of the equipment (if the agreement is purchased at the time of sale),
unless terminated sooner or extended in accordance with the termination and/or renewal
provisions contained within the agreement.
Manufacturers Recommended Maintenance: To ensure the proper maintenance of the
equipment, twice during the period of the Agreement, Westek will send a factory-trained
technician to the above named site. The technician will test, align and clean all equipment
• covered under this agreement.
Standards: Westek shall service The equipment in accordance with the following standards:
• a) For all repairs manufacturer's suggested parts or equal shall be used.
b) All work shall be of the highest quality and shall be performed in a neat workman like
manner by a qualified technician or technicians and in compliance with laws and
regulations.
c) Performance of the equipment shall at all times be kept at the levels stated in the
manufacturers instruction manuals furnished with the equipment.
Limitations of Warranty:This agreement shall not apply to the following:

a) Any repairs made necessary due to neglect, theft, misuse, accident or acts of god
• and/or nature.
b) Any malfunctions caused by operation of the equipment in a manner Inconsistent with
the manufacturer's or Westek's written instructions; inappropriate operation beyond or
inconsistent with factory rated capacities, or damage to the equipment installed in a
location not having a clean ground AC line.
c) Any malfunction, mis-operation or damage to the equipment due to power surges
and/or lightening.
d) Any supplies, equipment changes (per the client's specifications) or service required to
relocate the equipment.
e) The addition or deletion of accessories or parts to the equipment or any modifications
or adjustments to the equipment other than in accordance with Westek approved
procedures.

• f) Westek will not be responsible to service repairs due to faulty supplies if these supplies
were not purchased from Westek.
g) The client in accordance with Westek installation recommendations must maintain
environmental conditions and installation facilities.
h) Any malfunction, mis-operation or damage to the equipment due to operator error.
Should a static signal produce a "bum-in" Image on the CRTs of the Equipment, this
Agreement will not cover the repair costs. CR1 damages in this way are a direct
result of operator en-or. The client would incur a separate charge for a repair of this
nature.
I) Lamps, CRTs and/or other items, which have a "hourly"warranty unless, specified.
If any of the above or similar events should occur during the continuance of this agreement,
Westek may, at its exclusive option, perform such services and render charge to the client.
Westek also reserves the right to charge the standard hourly service rate If the repair for service
results in no trouble found.

Limitations of liability: The remedies of the client set forth in this warranty are exclusive, and
the liability of Westek with respect to any contract, or anything done In connection therewith
such as performance or breach thereof, or from the manufacture, sale, delivery, resale,
Installation or technical direction or Installation, repair or use Of any equipment covered by or
furnished under the agreement, whether in contract in tort (including negligence), In warranty or
otherwise, shall not exceed the price of the equipment or part on which such liability is based.
Lost Data and Delay: Westek shall not be held responsible for any lost data, without limitation,
due to malfunction of the equipment during this agreement or any extension thereof. Westek
shall not be responsible for any loss or damage caused by any delay in answering any request for
service of the equipment and, in any event, shall not be liable for any loss or damage, direct or
indirect, caused by, or resulting from, any act, failure to act or omission on the part of Westek,
Westek shall, under no circumstances, be required to indemnify the client for any loss or damage
to the data caused by any act, failure to act or omission on the part of Westek.
Disclaimer of Consequential Damage: To the extent the law permits, Westek shall not be
responsible for loss to time, use of the equipment or any other direct or Indirect consequential
damage, inconvenience or loss caused by the malfunction of the equipment during the term of
tris agreement.

Termination: either party as of the first day of the month following a written thirty-(30) day
notice may terminate This agreement. Should the client cancel this agreement, client agrees that
Westek shall not be responsible for the reimbursement of any monies paid under this agreement.
a) Upon cancellation, client agrees to pay for all parts, labor and supplies rendered
during the canceled agreement period..
b) If any of the following should occur during the term of this agreement or any
extension thereof, Westek may Immediately, upon giving notice in writing, terminate
this agreement.
1) Any repairs to the equipment, which are made necessary due to misuse or
abuse by the client.
2) The equipment is serviced, repaired or abused by any unauthorized person.
3) Any device, parts or accessories, other than Westek approved, parts or
accessories attached to the equipment.
4) Any amount payable hereunder shall remain unpaid for thirty (30) days, or in
the event of bankruptcy or insolvency of the client, or if failure of the client to
observe any of the terms and conditions within this agreement.
Pricing and Renewals: This agreement will renew automatically for successive annual terms if
Westek is not notified, in writing, by the client, thirty (30) days In advance of the anniversary
date, unless sooner terminated by Westek under this agreement. Westek will notify client of the
amount of payment due for renewal warranty period within thirty (30) days following the
beginning of the renewal period. In the absence of written notification, the warranty premium
shall be in the same amount as charged client in the last year of warranty coverage. In no case
shall the renewal cost exceed at 15% price increase from the previous year. Payment of the
renewal premium shall be due upon receipt of notification of the premium amount (or in the
absence of notification, forty-five days from the beginning of the renewal period) payable to
Westek at Its San Diego, California office.
The Initial agreements are priced at a percentage of the total value of the equipment and
installation. This agreement has been customized based on the equipment outlined on the first
page. Westek reserves the right to reject any request for renewal.
Service Department Hours: Westek Service Department business hours are Monday through
Friday (except holidays), 8:00 AM to 5:00 PM. If service Is provided by Westek outside the
regular service hours, client agrees to pay an additional amount for service, travel and labor time,
Westek will respond to the initial request for service either by telephone or with a service
technician on sire within forty-eight (48) hours.
Travel and Per Diem: Travel and hotel costs plus $25.00 per diem Will be billed additionally per
occurrence if applicable.
Shipping/Freight Charges: Any parts ordered from the manufacturer, needed to repair the
above named equipment will be shipped to the Westek repair depot by UPS Ground Service. Any
fees for overnight delivery service, at the client's request will be paid by the client.

Taxes: The client agrees to pay the amount of any provincial, municipal or other tax, except for
income taxes, that is or may become levied by government authorities, against Westek in respect
of the charges payable by the client under this agreement.
Assignment: This agreement may not be assigned or transferred by the client. This agreement
may be assigned to another authorized dealer or equipment to be selected by Westek.
Standards: The equipment shall be serviced by the contractor in accordance with these
standards:
a) Westek parts or parts of equal quality shall be used.
b) All work shall be of the highest quality and shall be performed in a neat and workman
like manner by qualified person(s) and in compliance with applicable laws, rules and
regulations.
c) The equipment shall not be subject to abuse.
d) Performance of the equipment shall be at all times kept at levels stated In the
manufacturer's instruction books furnished with the equipment.
Confidential/Proprietary: The information enclosed in this agreement is confidential and the
prbperty of Westek. Any duplications or disclosure of this material without the expressed written
consent of Westek is strictly prohibited.
Attorneys Fees/Enforcement: Any dispute arising out of this agreement, including payments
due hereunder, shall be resolved in a court of appropriate jurisdiction to the subject matter,
venue lying in San Diego, California. In any litigation arising out of this agreement, all costs
including but not limited to attorney's fees and costs for any appellate proceedings, shall be
awarded to the prevailing party.
Entire Agreement: This agreement constitutes the entire agreement between the parties
hereto with respect to the subject matter. No change or modification of this agreement shall be
valid unless in writing and signed by all parties hereto. No waiver of any provisions of this
agreement shall be valid unless in writing and signed by the party against whom it Is sought to
be enforced. Further, the provisions, conditions, terms and covenants herein contained shall
bind and the benefits and advantages shall Insure to, the respective successors, assigns,
trustees, receivers and personal representatives of the parties hereto.
