ACCOUNTANT -REDEVELOPMENT VIA: RICK COLE, CITY MANAGER Av DATE: MARCH 3, 2003 SUBJECT: LETTER OF AGREEMENT FOR ARCHITECTURAL RESEARCH SERVICES RELATED TO 619- 621 N. AZUSA AVENUE RECOMMENDATION It is recommended that the Board of Directors approve the Agreement for Design Aid Architects in the amount of $11,950, and authorize the City Manager to execute same. BACKGROUND At the Board meeting of October 21, 2002, the Board requested that staff include the Cultural and Historical Commission in plans regarding the project located at 619-621 N. Azusa. As a result of the building's designation as a possible historic site on the City's Potential Historic Landmark list, the Agency agreed to hire a consultant to: 1) Provide a written assessment of the historic character of the building; 2) Determine its eligibility as a potential State or National Historic Site; 3) Review the proposed building reconstruction/rehabilitation; 4) Provide cost estimates for identified alternative scenarios; and 5) Review the existing seismic upgrade work. Due to the specificity of these services, and based on suggestions by the Cultural and Historical Commission, the Agency selected Design Aid Architects to provide these services, not to exceed $1 1,950. Because of further project delays created by taking this additional step, the consultant was directed to begin the historic landmark assessment immediately, before the Board approved the contract which exceeds $10,000. Staff anticipates that the assessment report will be completed and received by next week. FISCAL IMPACT These design consultant services are budgeted in the approved 2002/03 Agency budget, account number 80-10-125-000-6650-650201. Azusa Avenue Dear Mr. Giessinger: This letter shall be our Agreement regarding the Architectural Research Services described below ("Services") to be provided by Design Aid Architects ("Contractor") as an independent contractor to the City of Azusa for the City's redevelopment project located at 619-621 N. Azusa Avenue ("Project"). The Services to be provided are more particularly described in the Scope of Services attached hereto as Exhibit "A" and incorporated herein by reference. Contractor shall perform all Services under this Letter of Agreement in a skillful and competent manner, consistent with the standards generally recognized as being employed by professionals in the same discipline in the State of California, and consistent with all applicable laws. Contractor represents that it, its employees and subcontractors have all licenses, permits, qualifications and approvals of whatever nature that are legally required to perform the Services, including a city business license, and that such licenses and approvals shall be maintained throughout the term of this Agreement. Compensation for the above services shall be based on the actual amount of time spent in adequately performing the Services. However, unless expressly agreed in writing in advance by the City, the cost to the City for the Services shall not exceed $1 1,950.00. Contractor is aware of the requirements of California Labor Code Section 1770 et seq. ("Prevailing Wage Laws"), which require the payment of prevailing wage rates and the performance of other requirements on "public works contracts." If this is a "public works contract" pursuant to the California Labor Code and if the total compensation is $1,000 or more, Contractor agrees to fully comply with such Prevailing Wage Laws. Copies of the prevailing rate of per diem wages for each craft, classification or type of worker needed to execute this Agreement shall be made available to interested parties upon request, and shall be posted at the Project site. Invoices shall be submitted to the City monthly as performance of the Services progresses. City shall review and pay the approved charges on such invoices in a timely manner. Services on the Project shall begin immediately and be completed by February 28, 2003, unless extended by the City in writing. The City may terminate this Letter of Agreement at any time with or without cause. If the City finds it necessary to terminate this Letter of Agreement without cause before Project completion, Contractor shall be entitled to be paid in full for those Services adequately completed prior to the notification of termination. Contractor may terminate this Letter of Agreement for cause only. . Contractor shall defend, indemnify and hold the City, its officials, officers, employees, agents and volunteers free and harmless from any and all claims, demands, causes of action, expenses, liabilities, losses, damages and injuries to property or persons, including wrongful death, in any manner arising out of or incident to any alleged negligent acts, omissions or willful misconduct of Contractor, its officials, officers, employees, agents, consultants and contractors arising out of or in connection with the performance of the Services or this Agreement, including, without limitation, the payment of all consequential damages, attorneys fees and other related costs and expenses. If you agree with the terms of this Letter of Agreement, please indicate by signing and dating where indicated below. An original, executed copy of this Letter of Agreement is enclosed for your records. CITY Approved by. - Rick Cole City Manager Approved as to form: Best Best & Krieger LLP City Attorney CONTRACTOR Reviewed and Accepted by Contractor Signature Lambert Giessinger, AIA Principal Date I EXHIBIT A SCOPE OF SERVICES and COMPENSATION Design Aid Architects proposes the following scope of work for the property located at 613 and 615 North Azusa Avenue: 1. Existing Condition. Consultant shall perform a visual inspection of the existing structure and provide a written assessment of the historic character of the building. City shall provide photographs and any other material to assist in this effort. (14 hrs @ $125 = $1,750) 2. Assessment. Consultant shall provide a written assessment of eligibility as the potential for the listing of the building on either the State if California and/or National Register of Historic Places listings. (24 hrs @ $125 = $3,000) 3. Review of Proposed Building Reconstruction/Rehabilitation Consultant shall review the plans for the proposal project. Given the proposed building program, recommendations shall be prepared which provide potential alternative reconstruction/rehabilitation scenarios with the primary objective to enable possible future listing on either the State of California and/or National Register of Historic Places listings. Use of tax credits, as a source of potential project funding shall be explored. (32 hrs @ $125 = $4,000) Note: Items I through 3 will be completed by January 31, 2003. 4. Cost Estimates. For each of the alternative scenarios identified, approximate order of magnitude and estimates of cost shall be provided for comparison with the current reconstruction scenario. The project evaluation criteria contained in the State Historic Building Code shall be utilized. (8 hrs @ $125 = $1,000) 5. Engineering Review. Consultant will have a structural engineer review the existing seismic upgrade work to ascertain feasibility of its reuse in the project. (8 hrs. @ $150 = $1,200) 6. Meetings/Hearing and follow-up. (8 hrs @ $125 = $1,000) Note: Items 4 through 6 will be completed by February 28, 2003
