PROFESSIONAL SERVICE AGREEMENT
THIS AGREEMENT, made and entered into this ____ day of ____, 2002, by and between the
City of Azusa, California, (hereafter referred to as “City”) and The Sanborn Map Company, Inc.,
whose principal place of business is located at 1650 Headland Drive, Fenton, Missouri 63026
(hereinafter referred to as the “Company”).
WITNESSETH
WHEREAS, the Company, having submitted a proposal and having met all of the qualifications
necessary to be considered for this contract, shall provide all personnel and materials as required
for a professional orthophoto base mapping project and:
WHEREAS, the City desires to utilize the aerial photography, GPS Control, aerial triangulation,
stereo compilation, orthophoto base mapping and photo lab services of the Company.
NOW HEREWITH, the Company agrees to execute this program and provide the services
outlined in this proposal and specifications.
PROPOSAL AND INTENT
This Agreement covers production of orthophoto base maps that will meet the requirements of
the Request for Proposal for Digital Orthophotography issued by the City of West Covina Public
Service Department on July 21, 2000 and as defined in the Proposal submitted by Walker
Associates in response to the Request For Proposals on August 25, 2000. Each of these
documents has been made Attachments to this contract. Exhibit A presents the limiting
boundary map for this project.

SECTION ONE
GENERAL PROVISIONS
1.1 The City will make available any existing maps and information in its
possession necessary for the production of work products specified by this
contract. Company and City will provide extraordinary care in handling and
shipping of these materials.
1.2 The Company agrees to make any work product specified by this contract
available to the City for inspection at either the City’s or Company’s facilities
during normal business hours.
1.3 At the conclusion of this contract and upon final payment to Company, all
final, intermediate or rejected work products of any kind will become property of
the City.
1.4 This document and all attachments herein referred to will constitute the full
and complete contract between the parties except as amended in writing and
agreed to by all parties.
1.5 This Agreement will be binding between the City and the Company when
executed by duly authorized officers of both parties.
SECTION TWO
ADDITIONAL PROVISIONS
2.1 The Company shall prepare and present to the City progress reports for each
phase of the project. The Company may design a format subject to the approval
of the City that also indicates percentage complete of each phase, contract
invoicing amount for each phase. These reports will be submitted approximately
every month.

SECTION THREE
STARTING AND COMPLETION DATES
3.1 Aerial photography will be acquired when desired by the City of Azusa. Upon
approval of the contract a final product options and delivery schedule will be
jointly approved by the City and the Company.
3.2 No extensions of time will be granted the Company unless the request for an
extension is made in writing thirty (30) days prior to the expiration date of this
contract. The request must be approved by the City and based on one or both of
the following:
3.2.1 An Act of nature that directly affects the Company’s ability to
perform.
3.2.2 Acts of government agencies that may affect the Company’s
performance.
3.2.3 Circumstances beyond the control of the Company and not due to
any negligence on the part of the Company or its employees. (Poor
Weather, Fire, Floods, Emergencies, etc.)

SECTION FOUR
MAPPING FEE
4.1 For the performance under this Agreement by the Company, the City will pay
the Company based upon the fee schedule detailed below. Progress payments will
be made based upon the percentage complete of each task. Reports will be
submitted indicating the amount due for the period invoiced. Prices are valid
through the length of the contract.

aerial photography and digital orthophotos will

Option 2:
The cost for compilation of 1”=100’ scale
planimetric features for the area outlined in
yellow on the contract map $ 17,200
Option 3:
The cost for compilation of 2-foot contours for
the area outlined in yellow on the contract map $ 35,100

Option 5:
Same specifications as option 4, except that the
aerial photography and digital orthophotos will
be in color. $ 17,600

The cost for compilation of 1”=100’ scale
planimetric features for the areas outlined in
blue on the contract map $ 9,500
Option 7:
The cost for compilation of 2-foot contours for
the areas outlined in blue on the contract map $ 19,300
Option 8:

SECTION FIVE
TIMELINESS OF PERFORMANCE
5.1 The Company acknowledges the importance to the City of the City’s project schedule
and agrees to put forth reasonable efforts in performing the services with due diligence
under this Agreement in a manner consistent with that schedule, as provided in Section
3.1 of this Agreement. The client understands, however, that the Company must be
governed by sound professional practices regarding Aerial Photography flight conditions
and resulting map products.
SECTION SIX
VALUABLE PAPERS INSURANCE
6.1 The Company shall carry valuable papers insurance in an amount to cover all
claims on any maps or data belonging to the City, in the Company’s possession,
and all work products and deliverable items covered under this Agreement.
SECTION SEVEN
INSURANCE AND WORKMEN’S COMPENSATION
7.1 The Company will carry public liability and Workmen’s Compensation
insurance and will save harmless the City and it’s officers or agents from all
claims, demands, payments, suits, actions or recoveries against it by reason of any
act or omission of the Company, it’s agents or employees in the execution of this
contract. The public liability insurance will include not less than
$250,000/$500,000 coverage against all damages to or claims by persons for
bodily injury and not less than $1,000,000 coverage for all damages to property.
SECTION EIGHT
CONTRACT AMENDMENTS OR ADDITIONS
8.1 No amendments or additions will be made to this contract without a written
and signed Agreement executed by both parties.

SECTION NINE
ASSIGNMENT OF SUBCONTRACT
9.1 It is specifically understood and agreed that this contract agreement or any part
hereof shall not be assigned in any manner whatsoever without the express, prior
and written consent of the City Commissioners. Walker Associates, Inc.
acknowledges the use of the following sub-contractors for the project.
WM Holdings Company, located in Ventura, California for all ground
control surveying and targeting required for this project.
SECTION TEN
PERSONNEL
10.1 The Company shall use competent employees in the performance of this
contract. All employees must have sufficient skill and experience to perform
properly the work assigned to them.
10.2 Employees with the responsibility of carrying out highly technical portions of
this contract shall have sufficient education, training or experience in such work
to perform it properly and satisfactorily he manner outlined in these specifications.
10.3 All employees who will be performing certain tasks that bring them in
contact with the public must carry proper identification issued them by the City.
10.4 The Company shall submit qualifications of all other personnel in a
responsible capacity to the City who shall approve same for all participating
entities.
10.5 It is understood and agreed that all personnel, except as provided elsewhere
in this Agreement, shall be employees of the Company.

SECTION ELEVEN
OWNERSHIP OF MATERIAL
11.1 Ownership of all materials involved herein shall belong to the City of Azusa.
No use shall be made thereof beyond the items and specifications listed in this
contract. However, the City may elect to store the original aerial photography at
the Company’s offices for no additional charge and for an indefinite period of
time.
11.2 No copyright of any nature shall be granted to the Company by the City to
any material or product resulting from this agreement and mapping program.
SECTION TWLEVE
LIMITATION OF LIABILITY
12.1 The maximum extent permitted by law, the City agrees to limit the
Company’s liability for the City’s damages to the sum of the contract amount.
This limitation shall apply regardless of the cause of action or legal theory pled or
asserted.
