HomeMy WebLinkAboutE-8 Staff Report - Amendment with KOA CorporationCONSENT ITEM E-8 TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL VIA: SERGIO GONZALEZ, CITY MANAGER FROM: ROBERT DELGADILLO, P.E., DIRECTOR OF PUBLIC WORKS/CITY ENGINEER DATE: OCTOBER 19, 2020 SUBJECT: CONSIDERATION OF A PROFESSIONAL SERVICES AGREEMENT AMENDMENT WITH KOA CORPORATION FOR THE TRAFFIC MANAGEMENT SYSTEM PROJECT BACKGROUND: KOA Corporation is currently providing professional engineering services for the Traffic Management System Project. This project proposes to alleviate traffic congestion, improve traffic and pedestrian safety, and reduce travel times, allowing vehicles to operate more efficiently with less impact to the environment. During construction, Staff and its consultant identified the initial amount budgeted for professional engineering services did not consider construction management and inspection services throughout the entire term of this project. This action will authorize the City Manager to amend the professional services agreement with KOA Corporation. RECOMMENDATION: Staff recommends the City Council take the following actions: 1)Approve an agreement amendment in the amount of $175,286, which includes a 10% contingency for potential change orders, increasing the not-to-exceed amount to $874,487, in a form acceptable to the City Attorney, on behalf of the City. 2)Authorize the City Manager to execute an agreement amendment with KOA Corporation, in a form acceptable to the City Attorney, on behalf of the City. ANALYSIS: APPROVED CITY COUNCIL 10/19/2020 Agreement Amendment with KOA Corporation October 19, 2020 Page 2 On April 3, 2017, the City Council awarded a professional services agreement to KOA Corporation for the Traffic Management System Project. The project will modernize various signalized intersections along major corridors in the City to improve local and regional traffic flow. The project improvements include new radios, traffic controllers, wiring, conduits, fiber optics or wireless connections, traffic signal poles, vehicle heads, pedestrian heads, video detection cameras, and a centralized traffic control and monitoring system. These improvements will promote coordinated traffic operations with neighboring cities and multi-jurisdictional collaboration with the ultimate goal of improving mobility and alleviate congestion by remotely controlling the synchronization and timing of the intersections to maximize traffic flow. This project is being funded with a $3,507,490 Proposition C Grant from the Los Angeles County Metropolitan Transportation Authority 2011 Call for Projects. On April 16, 2018, the City Council approved an agreement amendment in the amount of $74,290, which included a 10% contingency for potential change orders, increasing the not-to-exceed amount to $699,201. This amendment had included improvements at the intersection of Foothill Boulevard, Alosta Avenue, and Rockvale Avenue to the design of the Traffic Management System. This project is currently in the construction phase and is expected to be completed in December 2020. Staff is seeking authority to amend the existing professional services agreement with KOA Corporation to include construction management and inspection services through the completion of this project. FISCAL IMPACT: The amended professional services agreement with KOA Corporation was in the amount of $699,201 which included a 10% contingency for potential change orders. The costs for the added scope of services are $175,286, which include a 10% contingency for potential change orders. Staff requests a revised not- to-exceed amount of $874,487, which includes the original amount plus the added scope of services. The original agreement was funded with Proposition C Grant Funds. There are sufficient Prop C funds to cover the scope increase cost of $175,286. PARTIES AND DATE. This Second Amendment to the Professional Services Agreement (“PSA”) (“First Amendment”) is entered into on the ____ day of October, 2020, by and between the City of Azusa, a municipal corporation organized under the laws of the State of California, with its principal place of business at 213 East Foothill Boulevard, Azusa, California 91702 (“City”) and KOA Corporation, with its principal place of business at 1100 Corporate Center Drive, Suite 201, Monterey Park, CA 91754 (“Consultant”). City and Consultant are sometimes individually referred to herein as “Party” and collectively as “Parties”. 2. RECITALS. 2.1 Agreement. The Parties entered into that certain Professional Services Agreement dated April 25, 2017 ("Original PSA"), whereby Consultant agreed to render professional engineering services for the Traffic Management System Project (“Project”) 2.2 First Amendment. On April 16, 2018, the City amended the Original PSA to include engineering services for land surveying, plan preparation, utility relocation coordination, flood control permit process, construction management, and inspection for improvements at the intersection of Foothill Boulevard, Alosta Avenue, and Rockvale Avenue. 2.3 Second Amendment The City now desires to amend the existing PSA to include engineering services for construction management and inspection for all improvements within the entire scope of project. 3. TERMS. 3.1 Scope of Services and Term. The following professional engineering services are added to the scope of services: KOA Corporation to provide construction management and inspection services throughout the term of the Traffic Management Systems Project. 3.2 Fees and Payments. The costs for the added scope of services are $175,286, which 2 includes a 10% contingency for potential change orders, with a not-to-exceed amount of $874,487.
