HomeMy WebLinkAboutE-8 Staff Report - Amendment for VOIP ImplementationCONSENT ITEM E-8 TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL VIA: SERGIO GONZALEZ, CITY MANAGER FROM: ANN GRAF, DIRECTOR OF INFORMATION TECHNOLOGY & LIBRARY SERVICES DATE: JANUARY 18, 2022 SUBJECT: REQUEST TO APPROVE FIRST AMENDMENT TO AGREEMENT WITH CLIENT FIRST TELECOMMUNICATION SERVICES BACKGROUND: In July of 2021 City Manager executed an agreement with Client First to a provide VOIP Phone Implementation Services. However due to delays in supply-chain, Frontier installation of circuits and other concerns the go live has been pushed to February 2022. This is the last phase of the phone network and cabling project for the support of the new phone system. RECOMMENDATION: Staff recommends the City Council take the following actions: 1)Approve the first amendment with Client First, not-to-exceed annual amount of $16,000; and 2)Authorize the City Manager to sign the first amendment between the City and Client First ANALYSIS: Client First has provided telecommunication and operational needs support and strategy for the replacement of the existing phone system. Additional support is requested for training plan and materials review, test plan and actual testing of the system, CCID 911 number assignments and on-site cutover testing for the go live of the phone system. This first Amendment to the Agreement for VOIP Implementation Services (“First Amendment”) is entered into on the ____ day of January 2022, by and between the City of Azusa (hereinafter referred to as the “City”) and Client First (hereinafter referred to as the Consultant. City and Consultant are sometimes collectively referred to herein as the “Parties.” 2.RECITALS. 2.1 Agreement. The Parties entered into that certain Agreement for VOIP Implementation Services dated July 2021. (“Agreement”). 2.2 First Amendment. The Parties now desire to amend the Agreement in order to renew the Agreement for an additional four months and increase the total compensation under the Agreement. 3.TERMS. 3.1 Term. : Pursuant to Section 3.1.2 of the Agreement, the City hereby exercises the option to renew the Agreement and extend the term of the Agreement for four months from January 1, 2022 to April 30, 2022, unless earlier terminated as provided in the Agreement. 3.2 Compensation. The total compensation for the Services provided pursuant to this First Amendment shall not exceed Sixteen Thousand dollars ($16,000) without written approval of the City Manager. Consultant shall receive compensation, including authorized reimbursements, for all Services rendered under this First Amendment. 3.3 Remaining Provisions of Agreement. Except as otherwise specifically set forth in this First Amendment, the remaining provisions of the Agreement shall remain in full force and effect.
