BETWEEN THE CITY OF AZUSA AND WILLDAN ENGINEERING INC. TO
PROVIDE CONTRACT PLAN CHECK REVIEW AND INSPECTION
SERVICES
BACKGROUND:
On June 3, 2019, the City Council approved a Professional Service Agreement with Willdan
Engineering Inc. to provide plan review and inspection services for a two (2) year period. The
purpose for the agreement was to provide multiple options and flexibility when these services are
needed. Since the initial agreement approvals, staff has continued to utilize consultants to provide
support to the City’s Building Division. Additionally, the City’s Building Technician position
remains vacant, as the person formerly in the position relocated to another state. This, along with
the vacant Building Inspector II position, leave the Division in need of continued and increased
assistance. Willdan’s agreement will expire at the end of FY2022-23, and Staff would like to
exercise the option to extend the contract for a one-year period.
RECOMMENDATION(S):
Staff recommends the City Council take the following actions:
1)Approve the Second Amendment to the Professional Services Agreement with Willdan
Engineering Inc. to provide plan review, building administration, and inspection services;
2)Approve a one (1) year extension to the Professional Services Agreement with Willdan
Engineering Inc.; and

3) Authorize the City Manager to execute the Amendment, subject to any non-substantive
revisions approved by the City Attorney, and perform any other obligations of the City
under the amendment.
ANALYSIS:
The recommended action in this report would approve a Second Amendment to the Professional
Services Agreement (PSA) with Willdan Engineering Inc. per section 3.1.2 of the PSA. This
amendment would extend Willdan’s agreement for a one (1) year period and increase the total
compensation in an amount not to exceed $245,000. Staff will come back at Mid-Year to update
Council if there is any fiscal impact to the budget or agreement.
The City’s original agreement with Willdan for plan review and inspection services was for a two
(2) year term. Subsequently, the need for assistance with building related services has increased
due to a larger workload and the lack of staff. Staff therefore wishes to maintain flexibility by
continuing agreements with both Willdan and Transtech. Transtech currently coordinates the
intake of building plan checks and conducts a review process that ensures an efficient service
delivery. As stated earlier in this report, the Building Division has employment vacancies where
additional assistance continues to be needed. Staff anticipates using either consulting firm, or a
combination thereof, to continue providing building services. As stated, Willdan’s agreement
expires on June 30, 2022, and staff is requesting a one (1) year extension be granted, along with
the additional funding allocation to continue to provide much needed building related services.
FISCAL IMPACT:
Staff is requesting an increase in the contract purchase order by $170,000 with a not-not-to-exceed
amount of $245,000. These funds will be utilized to cover invoices for the final months of Fiscal
Year 2021/22, as well as estimated invoices for Fiscal Year 2022/23 until staff vacancies are filled.
The requested funds for FY2021-22 are included in the FY2021-22 Approved Budget, and funds
for FY2022-23 will be requested through the annual budget approval process.

SECOND AMENDMENT TO THE PROFESSIONAL SERVICES
AGREEMENT FOR PLAN CHECK, BUILDING ADMINISTRATION, AND
INSPECTION SERVICES
1. PARTIES AND DATE.
This Second Amendment to the Professional Services Agreement for Plan Check, Building
Administration, and Inspection Services (“Second Amendment”) is entered into on the ____ day
of ________, 2022, by and between the City of Azusa (hereinafter referred to as the “City”) and
Willdan Engineering Inc. (hereinafter referred to as the “Consultant”). City and Consultant are
sometimes collectively referred to herein as the “Parties.”
2. RECITALS.
2.1 Agreement. The Parties entered into that certain Agreement for Plan Check and
Inspection Services dated July 1, 2019 (“Agreement”) for a term of two years.
2.2 First Amendment. The Parties amended the Agreement in order to increase the
total compensation for contract Fiscal Year 2020-2021 in an amount not-to-exceed $250,000; and
extend said Agreement for a period of one (1) year.
2.3 Second Amendment. The Parties now desire to amend the Agreement in order to
increase the total compensation for contract Fiscal Year 2022-2023 in an amount not-to-exceed
$245,000; and extend said Agreement for a period of one (1) year.
3. TERMS.
3.1 Compensation. The total compensation for the Services provided pursuant to this
First Amendment shall not exceed $245,000 for contract Fiscal Year 2022-2023 without written
approval of the City Manager. Consultant shall receive compensation, including authorized
reimbursements, for all Services rendered under this Second Amendment at the rates set forth in
Exhibit “A” attached hereto.
Term. The term of the agreement shall be extended for a period of one (1) year from
June 30, 2022.
3.2 Remaining Provisions of Agreement. Except as otherwise specifically set forth in
this First Amendment, the remaining provisions of the Agreement shall remain in full force and
effect.
