HomeMy WebLinkAboutE-7 Staff Report - PSA with Historic Resources Group - Second AmendmentCONSENT ITEM E-7 TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL VIA: SERGIO GONZALEZ, CITY MANAGER FROM: NICO DE ANDA-SCAIA, DEPUTY CITY MANAGER/INTERIM DIRECTOR OF ECONOMIC & COMMUNITY DEVELOPMENT DEPARTMENT DATE: SEPTEMBER 19, 2022 SUBJECT: REQUEST TO AMEND PROFESSIONAL SERVICES AGREEMENT WITH HISTORIC RESOURCE GROUP TO CONDUCT THE CITY'S HISTORIC CONTEXT STATEMENT AND CITYWIDE HISTORIC SURVEY UPDATE AS IT RELATES TO THE CITY'S HISTORIC PRESERVATION PROGRAM BACKGROUND: The City of Azusa has a rich history that evolved from its founding date in 1887 and incorporation on December 29, 1898. The City has approximately 120 years of history which has been memorialized and celebrated. The City’s Historic Preservation Program started with the adoption of the Historic Property Survey List and Chapter 55 of the Azusa Municipal Code. On November 16, 2000, the City Council adopted Ordinance No. 00-012. This Ordinance established Chapter 55 – Historic Preservation Code Section of the Azusa Municipal Code. This Chapter and the corresponding Cultural and Historic Preservation Commission it created was done so to protect, appreciate, and preserve the cultural and historic resources of the City. By doing so, a partnership would be established between the Commission, other governmental agencies, property owners/residents, the business sector, and the community at large to retain and protect those cultural and historic resources which will preserve and enhance the community. On October 7, 2019, the City Council approved Professional Service Agreement with Historic Resources Group to conduct the City’s First Historic Context Statement and Citywide Historic Survey Update. On August 17, 2020, the City Council approved Professional Services Agreement First Amendment with Historic Resources Group that extended the contract term from July 2020 to December 2021. APPROVED CITY COUNCIL 9/19/2022 Professional Services Agreement Second Amendment with Historic Resources Group September 19, 2022 Page 2 of 2 On January 31, 2022, Historic Resources Group provided an updated Project Schedule that indicated substantial completion of Task 1-5. The following task are remining to complete the project: • Task 6: Intensive Level Survey • Task 7: Survey Report to complete the project. RECOMMENDATIONS: Staff recommends that the City Council take the following actions: 1) Approve Professional Services Agreement Second Amendment with Historic Resources Group that would extend the contract term from December 2021 to December 2023; and 2) Authorize the City Manger to prepare and execute the Agreements, in a form acceptable to the City Attorney, on behalf of the City. ANALYSIS: The project’s timeline has been impacted due to the threat of Novel Coronavirus (COVID-19) and the Planning Division staffing levels that started changing in November 2021. The Project will resume in January 2023 and will move forward with a proposed adoption by 4th Quarter of 2023. Therefore, the Agreement needs to be extended in order to complete the project. This Project would be the City’s first Historic Context Statement and will ultimately be a historic legislative action if adopted. FISCAL IMPACT: The contract extension has no fiscal impact. The outstanding project funds of $47,450 was included in the FY2021/22 approved budget under account No: 1035611000-6399, and it will be added to the FY2022/23 budget through the budget carryforward process. This Agreement is made and entered into this 19th day of September, 2022 by and between the City of Azusa, a municipal corporation organized under the laws of the State of California with its principal place of business at 213 East Foothill Boulevard, Azusa, California 91702 (“City”) and Historic Resources Group, a California Limited Liability Company with its principal place of business at 12 S. Fair Oaks Avenue, Suite 200, Pasadena, CA 91105 (“Consultant”). City and Consultant are sometimes individually referred to herein as “Party” and collectively as “Parties.” 2.RECITALS. 2.1 Agreement. The Parties entered into that certain Agreement for the Historic Context Statement and Citywide Survey Update dated October 7, 2019 3.AMENDMENT. Section 3.1.2 is hereby amended to read as follows: 3.1.2 Scope of Services and Term. “3.1.2 Term. The term of this Agreement shall be from November 2019 to December 2023, unless earlier terminated as provided herein. Consultant shall complete the Services within the term of this Agreement, and shall meet any other established schedules and deadlines. The Parties may, by mutual written consent, extend the term of this Agreement if necessary to complete the Services.” 4.REMAINING PROVISIONS OF AGREEMENT. Except as otherwise specifically set forth in this Second Amendment, the remaning provisions of the Agreement shall remain in full force and effect.
