JIMENEZ, DIRECTOR OF ECONOMIC & COMMUNITY DEVELOPMENT DATE: AUGUST 21, 2023 SUBJECT: APPROVAL OF FIRST AMENDMENT TO THE PROFESSIONAL SERVICE AGREEMENT BETWEEN THE CITY OF AZUSA AND WEST COAST SHOPPING CART SERVICE FOR SHOPPING CART RETRIEVAL BACKGROUND: On April 1, 2022, the City of Azusa entered into an agreement with West Coast Shopping Cart Service for abandoned shopping cart retrieval services. The proposed action will authorize staff to extend the current agreement for an additional year, and increase the contract purchase order to ensure invoices for the remaining life of the contract are adequately covered. RECOMMENDATIONS: Staff recommends that the City Council take the following actions: 1)Approve the First Amendment to the Professional Service Agreement with West Coast Shopping Cart Services authorizing a one-year extension and increasing the total contract amount to $57,200; and 2)Authorize the City Manager to execute an amendment, in a form acceptable to the City Attorney, on behalf of the City. Approved City Council August 21, 2023 First Amendment to the Professional Service Agreement - West Coast Shopping Cart Service August 21, 2023 Page 2 ANALYSIS: The recommended actions in this report would approve a First Amendment to the Professional Services Agreement with West Coast Shopping cart service. This amendment will result in a one- year extension and an increase of $32,200 making the total contract amount $57,200. Staff will request a PO change order in the amount of $16,200 for FY 2023-24 and a PO change order in the amount of $16,000 for FY 2024-25 for contract purchase order number 036863. West Coast Shopping Cart Services has been providing abandoned shopping cart retrieval services for the City since October 2018. Within 16 months West Coast has retrieved 2,145 abandoned shopping carts throughout the city. Since working with West Coast Shopping Cart Services, the Community Improvement Division has not received complaints with respect to cart retrieval or their operational procedures. The Community Improvement Division is and has been pleased with the partnership developed between West Coast and the City. FISCAL IMPACT: The initial contract of $25,000 was budgeted and spent in FY2022-23, and this amendment will amend the PSA and an additional $32,200, resulting in a new total contract value of $57,200. $15,000 of the $32,000 were included in the FY2023-24 approved budget and an additional $15,000 of the requested funds have been included in the FY2024-25 approved budget under account 10-35-643-000-6493. The additional funds required for FY2023-24 are $2,200. Upon Council approval, staff will process a budget amendment and increase the budget to the amount of $2,200 under account 10-35-643-000-6493. FOR ABANDONED SHOPPING CART RETRIEVAL SERVICES 1.PARTIES AND DATE. This First Amendment to the Agreement for Professional Services (“First Amendment”) is entered into on the 21st day of August 2023, by and between the City of Azusa (hereinafter referred to as the “City”) and West Coast Shopping Cart Service, Inc. (hereinafter referred to as the “Contractor”). City and Contractor are sometimes collectively referred to herein as the “Parties.” 2.RECITALS. 2.1 Agreement. The Parties entered into that certain Agreement for Abandoned Shopping Cart Retrieval Services dated April 18, 2022 (“Agreement”). 2.2 First Amendment. The Parties now desire to amend the Agreement in order to renew the Agreement for an additional one-year term and to increase the total compensation under the Agreement, etc. 3.TERMS. 3.1 Term. Pursuant to Section 3.1.2 of the Agreement, the City hereby exercises the option to renew the Agreement and extend the term of the Agreement for one year from April 1, 2023, to April 1, 2024, unless earlier terminated as provided in the Agreement. 3.2 Compensation. The total compensation for the Services provided pursuant to this First Amendment shall not exceed Fifty-Seven Thousand Two Hundred Dollars ($57,200.00) without the written approval of the City Manager. The contractor shall receive compensation, including authorized reimbursements, for all Services rendered under this First at the rates set forth in Exhibit “A” attached hereto. 3.3 Remaining Provisions of Agreement. Except as otherwise specifically set forth in this First Amendment, the remaining provisions of the Agreement shall remain in full force and effect.
