HomeMy WebLinkAboutE-13 Staff Report - Extension of Slauson Pool Maintenance Agreement with CommercialCONSENT ITEM E-13 TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL VIA: SERGIO GONZALEZ, CITY MANAGER FROM: MIKI CARPENTER, DIRECTOR OF COMMUNITY RESOURCES DATE: SEPTEMBER 18, 2023 SUBJECT: APPROVAL OF FIRST AMENDMENT TO AGREEMENT FOR SLAUSON POOL MAINTENANCE SERVICES AND REPAIR BETWEEN CITY OF AZUSA AND HASA, INC., DBA COMMERCIAL AQUATIC SERVICES BACKGROUND: The City has contracted with Illini Companies, Inc., DBA Commercial Aquatic Services, for Slauson pool maintenance since October 1, 2020. The current contract, which was approved by City Council on August 17, 2020, is set to expire on September 30, 2023. Staff would like to exercise the first of two, one-year extensions to the Pool Maintenance and Repair contract. Additionally, The Illini Companies, Inc. was purchased by Hasa, Inc. and the contract is being amended to reflect this change. RECOMMENDATIONS: Staff recommends that City Council take the following action(s): 1)Approve the First Amendment to the Slauson Pool Maintenance and Repair Agreement between the City and Hasa, Inc., DBA Commercial Aquatic Services; and, 2)Authorize the City Manager to execute an amendment to the contract, in a form acceptable to the City Attorney, on behalf of theCity. ANALYSIS: On August 17, 2020, the City Council awarded an Agreement for Maintenance and Repair Services of the Slauson Pool to The Illini Companies, Inc., DBA Commercial Aquatic Services. The contract was effective October 1, 2020 through September 30, 2023, with two optional one-year extensions available. The City purchasing policy requires that the additional one-year extension of the contract be considered by City Council. FISCAL IMPACT: The cost of routine pool maintenance for the Azusa Aquatics Center is $16,348 annually. The stated amount is included in the FY 2023-24 approved Aquatics budget under account (10-25-410-100-6493). Additionally, a blanket purchase order in the amount of $20,000 will be established for miscellaneous repairs. The $20,000 is also included in the FY 2023-24 approved Aquatics budget under account (10- 25-410-100-6493). The First Amendment to the Agreement for Maintenance Services (“First Amendment”) is entered into on the day of September 2023, by and between the City of Azusa (hereinafter referred to as the “City”) and Hasa, Inc., DBA Commercial Aquatic Services (hereinafter referred to as the “Consultant”). City and Consultant are sometimes collectively referred to herein as the “Parties.” 2.RECITALS. 2.1 Agreement. The Parties entered into that certain Agreement for Pool Maintenance and Repair for Slauson Pool on October 1, 2020 (“Agreement”). 2.2 First Amendment. The Parties now desire to amend the Agreement in order to extend the Agreement an additional one-year term, and to change the Contractor’s name due to an asset purchase agreement. 3.TERMS. 3.1 Parties and Date. Pursuant to Section 1 of the Agreement, the Contractor is now Hasa, Inc., DBA Commercial Aquatics whose principal place of business is at 23119 Drayton St., Saugus, CA 91350. 3.2 Term. Pursuant to Section 3.1.2 of the Agreement, the City hereby exercises the option to renew the Agreement and extend the term of the Agreement for 12 months from October 1, 2023 to September 30, 2024, unless earlier terminated as provided in the Agreement. 3.3 Remaining Provisions of Agreement. Except at otherwise specifically set forth in this First Amendment, the remaining provisions of the Agreement shall remain in full force and effect.
