AGREEMENT WITH GONZALEZ GOODALE ARCHITECTS FOR CONSULTANT
SERVICES FOR THE REHABILITATION OF THE HISTORIC SANTA FE DEPOT
LOCATED AT 130 E. SANTA FE AVENUE (APN 8608-025-801)
SUMMARY:
The Santa Fe Train Depot, located at 130 E. Santa Fe Avenue, was included on the list of Historic
Landmarks approved on February 20, 2001. Construction of the historic station began in 1943 by the
Santa Fe Railroad to facilitate the shipping of citrus and other agricultural products and to promote the
residential relocation of people to the San Gabriel Valley. Construction was halted because of World
War II. The station was subsequently completed in 1946 as a “chalet” design, and later remodeled into a
“streamline modern” design structure. The Santa Fe Depot is a rectangular, single story building,
measuring 28 feet by 10 feet, with a total square footage of approximately 2,800 SF.
The restoration and rehabilitation of the historic Santa Fe Depot (Project) was first initiated in 2014 with
funds from the Downtown Azusa Gold Line Station budget. The consultant selected for the project was
Gonzalez Goodale Architects.
After experiencing delays due to higher than anticipated construction costs, the Los Angeles County
Metropolitan Transit Authority (Metro) was successful in securing additional monies for the project and
getting the project back on track in 2019.
On May 21, 2019, the Cultural and Historic Preservation Commission approved Resolution No. 2019-
CHPC03 for Minor Certificate of Appropriateness No. HP-2019-04 to allow the rehabilitation and reuse
of the historic Santa Fe Depot.
On September 16, 2019, the City approved a Memorandum of Understanding (MOU) between the City
of Azusa and Metro, for the development of the property, including joint financing, planning, design,
construction and use. The City also approved a new agreement with Gonzalez Goodale Architects for re-
design as the construction documents required to be updated to meet California Building Codes.

The MOU stipulated a total contribution of $500,000 from the City, including fees, costs and staff time.
The City contribution accounted for the initial $124,894 for the procurement of an architect and
development of preliminary architectural plans (2014), and the $125,894 for project re-design and
updated plans (2019). The project experienced further delays during the pandemic until it was revisited
in late 2021. In order to get the project back on track, an amended scope was required to accommodate
2019 code changes, for an additional $46,220.
On December 5, 2022, the City Council approved the first amendment to the contract that provided the
necessary funds to update the plans for the previously noted code changes. Additional value engineering
requests by Metro requiring updates to the plans were also included.
Final plans were submitted, reviewed and approved earlier this year. Metro experienced additional
delays due to a change in their selected contractor and internal funding authorizations. The project is
currently waiting for Metro’s contractor to pull permits in order to begin construction. Staff has been
informed by Metro that the project will commence in January 2024.
The proposed second amendment to the agreement with Gonzalez Goodale Architects modifies the term
of the contract only. Since the current contract is set to expire at the end of the year, the amendment will
allow for an additional year should architectural reviews be necessary. All other terms will carry
forward, including construction phase services to include one Architect site visit per month (totaling 12)
and review of submittals, and limited site visits from structural engineer, MEP, Civil, Landscape, and
Historic consultants.
RECOMMENDATION:
Staff recommends that the City Council take the following actions:
1) Approve the second amendment to the Professional Services Agreement with Gonzalez Goodale
Architects to extend the term of the agreement until December 31, 2024; and
2) Authorize the City Manager to prepare and execute the agreement(s), in a form acceptable to the
City Attorney, on behalf of the City.
ANALYSIS:
The proposed scope of the project requires expertise and assistance from qualified consultants. The
project has specific technical assistance that is not supported by the Planning Division. The scope of the
project includes but not limited to interior and exterior modifications of the historic Santa Fe Depot,
including the following phased services:
1. Project re-design to accommodate code changes (2013 change to 2019)
2. Project re-design to accommodate revised space program usage
3. Re-submit plans to City of Azusa for plan-check/approval.
4. Bidding phase services.
5. Construction phase services.

Metro is eager to complete the project, on time and within budget. City staff and consultants have met to
ensure the project moves forward without further delay.
FISCAL IMPACT:
There is no additional funding required by this amendment. All previously approved project costs will
carry forward to the new term.

This First Amendment to the Agreement for Professional Services (“Second Amendment”)
is entered into on the 18th day of December 2023, by and between the City of Azusa (hereinafter
referred to as the “City”) and Gonzalez Goodale Architects (hereinafter referred to as the
“Consultant”). City and Consultant are sometimes collectively referred to herein as the “Parties.”
2.RECITALS.
2.1 Agreement. The Parties entered into that certain Agreement for Professional
Services dated September 16, 2019 (“Agreement”).
2.2 First Amendment. On December 5, 2022, the Parties approved the first amendment
to the Agreement, extending the term of the agreement and amending the scope of work and
compensation.
2.3 Second Amendment. The Parties now desire to amend the Agreement to further
extend the term of the agreement in order to complete the Santa Fe Depot rehabilitation project.
3.TERMS.
3.1 Term. Pursuant to Section 3.1.2 of the Agreement, the City hereby exercises the
option to renew the Agreement and extend the term of the Agreement for 12 months from
December 31, 2023 to December 31, 2024, unless earlier terminated as provided in the
Agreement.
3.2 Remaining Provisions of Agreement. Except as otherwise specifically set forth in
this First Amendment, the remaining provisions of the Agreement shall remain in full force and
effect.

This First Amendment to the Agreement for Professional Services (“First Amendment”) is entered
into on the 5th day of December 2022, by and between the City of Azusa (hereinafter referred to as the
“City”) and Gonzalez Goodale Architects (hereinafter referred to as the “Consultant”). City and Consultant
are sometimes collectively referred to herein as the “Parties.”
2. RECITALS.
2.1 Agreement. The Parties entered into that certain Agreement for Professional
Services dated September 16, 2019 (“Agreement”).
2.2 First Amendment. The Parties now desire to amend the Agreement in order to
extend the agreement and amend the scope of work in order to complete Santa Fe Depot
rehabilitation project.
3. TERMS.

PROFESSIONAL SERVICES AGREEMENT
1.PARTIES AND DATE.

This Agreement is made and entered into this 16th day of September, 2019 by and
between the City of Azusa, a municipal corporation organized under the laws of the State of
California with its principal place of business at 213 East Foothill Boulevard, Azusa, California
91702 ("City") and Gonzalez Goodale Architechts, a California Corororation with its principal
place of business at 135 West Green Street, Suite 200, Pasadena, CA 91105 ("Consultant").
City and Consultant are sometimes individually referred to herein as "Party" and collectively as
"Parties."
2.RECITALS.
2.1 Consultant.
Consultant desires to perform and assume responsibility for the provision of certain
professional services required by the City on the terms and conditions set forth in this
Agreement. Consultant represents that it is experienced in providing professional architectural
and design services to public clients, is licensed in the State of California, and is familiar with
the plans of City.
2.2 Project.
City desires to engage Consultant to render such services for the interior and exterior
rehabilitation and reuse of the historic Santa Fe Depot building ("Project") as set forth in this
Agreement.
3.TERMS.
3.1 Scope of Services and Term.
3.1.1 General cope of Services. Consultant promises and agrees to furnish to
the City all labor, materials, tools, equipment, services, and incidental and customary work
necessary to fully and adequately supply the professional Historic Preservation and Restoration
consulting services necessary for the Project ("Services"). The Services are more particularly
described in Exhibit "A" attached hereto and incorporated herein by reference. All Services
shall be subject to, and performed in accordance with, this Agreement, the exhibits attached
hereto and incorporated herein by reference, and all applicable local, state and federal laws, rules
and regulations.
3.1.2 Term. The term of this Agreement shall be from June 17, 2019 to
December 20, 2022, unless earlier terminated as provided herein. Consultant shall complete the
Services within the term of this Agreement, and shall meet any other established schedules and
deadlines. The Parties may, by mutual written consent, extend the term of this Agreement if
necessary to complete the Services.
3.2 Responsibilities of Consultant.
