HomeMy WebLinkAboutE-5 Staff Report - SDI PRESENCE LLC - 3RD AMENDCONSENT ITEM E-5 TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL VIA: SERGIO GONZALEZ, CITY MANAGER FROM: ROCKY WENRICK, CHIEF OF POLICE DATE: DECEMBER 18, 2023 SUBJECT: REQUEST TO APPROVE THIRD AMENDMENT TO AGREEMENT WITH SDI PRESENCE LLC. BACKGROUND: On April 5, 2021, the City of Azusa Police Department required critical information technology support to supplement staff supporting the Department. The City entered into a professional services agreement with Scientia Consulting Group to provide these critical services. SDI Presence LLC acquired Scientia Consulting Group in December 2021. This acquisition did not interfere with the services provided. The City’s primary interest is to ensure the Police Department’s Information Technology infrastructure remains secure. The proposed action approves a third amendment to the contract with SDI Presence LLC to extend services to June 30, 2024. RECOMMENDATION: Staff recommends the City Council take the following actions: 1)Approve an extension of the SDI Presence LLC contract; and 2)Authorize the City Manager to execute a third amendment to the contract, in a form acceptable to the City Attorney, on behalf of the city ANALYSIS: Information Technology and cyber security support is a critical segment of the Police Department’s infrastructure. SDI Presence LLC will continue to provide critical Information Technology services to help maintain computer systems and security infrastructure. The Police Department requires additional assistance to accomplish specific operations and complete high priority projects currently managed by SDI Presence LLC. This action will authorize a Third Amendment to the professional services agreement with SDI Presence LLC, which will extend the current agreement to June 30, 2024. This Third Amendment to the Agreement for Information Technology Services (“Third Amendment”) is entered into on the ___ day of _________, 20___, by and between the City of Azusa (hereinafter referred to as the “City”) and SDI Presence (hereinafter referred to as the consultant. City and Consultant are sometimes collectively referred to herein as the “Parties.” 2.RECITALS. 2.1 Agreement. The Parties entered into that certain Agreement for Information Technology Services dated April 6, 2021 (“Agreement”). 2.2 First Amendment. The Parties now desire to amend the Agreement in order to extend to June 30, 2022 and increase agreement by $85,550. 2.3 Second Amendment. The Parties now desire to amend the Agreement in order to extend to June 30, 2023 and increase by $145,500. 2.4 Third Agreement. The Parties now desire to amend the Agreement in order to extend to June 30, 2024 and increase by $100,000. 3.TERMS. 3.1 Term. Pursuant to Section 3.1.2 of the Agreement, the City hereby exercises the option to renew the Agreement and extend the term of the Agreement for one year from July 1, 2023 to June 30, 2024, unless earlier terminated as provided in the Agreement. 3.2 Compensation. The total compensation for the services provided pursuant to this Third Amendment shall not exceed One Hundred thousand dollars ($100,000) during Fiscal Year 2023/2024. Consultant shall receive compensation, including authorized reimbursements, for all Services rendered under this Third Amendment.. 3.3 Remaining Provisions of Agreement. Except as otherwise specifically set forth in this Third Amendment, the remaining provisions of the Agreement shall remain in full force and effect.
