HomeMy WebLinkAboutE-7 Staff Report - Second Amendment Staff ReportCONSENT ITEM E-7 TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL VIA: SERGIO GONZALEZ, CITY MANAGER FROM: ROBERT DELGADILLO, P.E., PUBLIC WORKS DIRECTOR/ CITY ENGINEER DATE: APRIL 1, 2024 SUBJECT: APPROVAL OF SECOND AMENDMENT TO AGREEMENT FOR JANITORIAL SERVICES BETWEEN CITY OF AZUSA AND ULTIMATE MAINTENANCE SERVICES, INC. BACKGROUND: The City has contracted with Ultimate Maintenance Services, Inc. for janitorial services since 2020. The current contract was approved by City Council on May 1, 2023 for a one-year extension. This agreement is set to expire on May 31, 2024 and staff would like to exercise the final, one-year extension to the janitorial services agreement. RECOMMENDATION: Staff recommends the City Council take the following actions: 1) Approve the Second Amendment to the City-Wide Janitorial Services Agreement between the City of Azusa and Ultimate Maintenance Services, Inc. 2)Authorize the City Manager to execute an amendment to the contract, in a form acceptable to the City Attorney, on behalf of the City. ANALYSIS: On July 20, 2020, the City Council awarded a city-wide janitorial services agreement to Ultimate Maintenance Services. The contract was effective June 1, 2020 to May 31, 2023, with two optional one- year extensions available. The City’s purchasing policy requires the additional one-year extension of the contract be considered by City Council. The First Amendment was approved by Council at the May 1, 2023 meeting for a one-year extension to the agreement, from June 1, 2023 to May 31, 2024. This Second Amendment will extend the contract for an additional one-year term, from June 1, 2024 through May 31, 2025. This Second Amendment to the Agreement for Professional Services (“First Amendment”) is entered into on the ____ day of April 2024, by and between the City of Azusa (hereinafter referred to as the “City”) and Ultimate Maintenance Services, Inc (hereinafter referred to as the “Consultant”). City and Consultant are sometimes collectively referred to herein as the “Parties.” 2.RECITALS. 2.1 Agreement. The Parties entered into that certain Agreement for Janitorial Services for City Facilities Services dated July 20, 2020 (“Agreement”). 2.2 First Amendment. The Parties amended the Agreement in order to extend the Agreement for an additional one-year term dated, May 1, 2023. 2.3 Second Amendment. The Parties now desire to amend the Agreement a second time in order to extend the Agreement for a final additional one-year term. 3.TERMS. 3.1 Term. Pursuant to Section 3.1.2 of the Agreement, the City hereby exercises the option to renew the Agreement and extend the term of the Agreement for 12 months from June 1, 2024 to May 31, 2025, unless earlier terminated as provided in the Agreement. 3.2 Remaining Provisions of Agreement. Except as otherwise specifically set forth in this First Amendment, the remaining provisions of the Agreement shall remain in full force and effect.
