AGREEMENT WITH STUDIO T-SQ., INC. FOR ARCHITECTURAL SERVICES FOR
THE PROMENADE AT CITRUS PROJECT (890 THE PROMENADE)
BACKGROUND:
The City of Azusa currently owns a ±8,206 square foot commercial facility located at 890 The Promenade.
On February 1, 2022, the City of Azusa entered into a Lease Agreement with the Los Angeles County
Metropolitan Transportation Authority (LA Metro) for use of the city-owned facility as System Security
and Law Enforcement Offices to support the operation of the Metro A Line. In order to facilitate the
intended use, LA Metro requested the City build-to-suit the premises per a mutually agreed upon space
plan. Due to LA Metro’s subsequent and unforeseen delays in obtaining budget increase authority to
finance its share of the project, leasehold improvements were ultimately delayed through 2024.
With a renewed commitment to this project by LA Metro, on August 19, 2024, the City Council approved
a Professional Services Agreement (PSA) with Studio T-SQ., Inc. to provide architectural services for the
redesign of tenant improvements for its city-owned facility. The approved scope of work included
developing a non-structural, interior design package including drawings and finish selections, and
construction cost estimation services.
As a result of additional modifications made during the design process to the overall configuration and
plans of LA Metro’s desired tenant improvements, the parties now wish to amend the PSA with Studio
TSQ., Inc. in order to revise the scope of services and increase the amount of compensation associated
with these changes.
RECOMMENDATIONS:
Staff recommends that the City Council take the following actions:
1)Approve a First Amendment to the Professional Services Agreement with Studio T-SQ., Inc. to
revise the scope and schedule of services under ‘Phase 1’ of project development, and increase the
compensation amount by $36,964; and

2) Authorize the City Manager to execute the amendment, in substantial form, subject to minor
modifications acceptable to the City Attorney, on behalf of the City.
ANALYSIS:
The City initially awarded a contract to Studio T-SQ., Inc. in April 2020 to provide architectural design
services to meet the needs of the tenant. However, as the initial construction bids received in 2022
exceeded LA Metro’s project budget, the project did not move forward. Since that time, City staff have
been in regular communication with LA Metro and continue to collect lease payments on the facility per
the agreed upon lease terms.
Last year, LA Metro representatives reaffirmed their desire to move forward with this project and asked
to scale down the improvements in order to meet their budget parameters. Subsequently, the City entered
into a new PSA with Studio T-SQ., Inc. for a redesign of tenant improvements to the building. Over the
last several months, the project architect, along with representatives from LA Metro and city staff have
worked together to redesign and reconfigure a reduced footprint of the building interior per LA Metro’s
direction. During this process, additional LA Metro stakeholders and needs have been identified, and the
project architects have had to make various modifications to the design plans for LA Metro’s desired
tenant improvements. Additionally, LA Metro anticipates a phased approach to the design and
construction of remaining project elements beyond the current ‘Phase 1’. The timeline for subsequent
phases is unknown currently, and dependent upon future LA Metro project budget allocations.
As a result, staff recommends the City Council approve a First Amendment to the PSA with Studio T-
SQ., Inc. to revise the scope and schedule of services to ‘Phase 1’ of project development, and increase
the overall amount of compensation to account for these changes. City Council approval is required in this
case per AMC Section 2-538(d)(7), as the sum of the amended contract will exceed the amount previously
approved by city council for T-SQ., Inc.
Per the negotiated terms with LA Metro, the City has already reached its financial contribution limit
toward this project, and therefore any project-related costs beyond this amount, including Studio T-SQ.,
Inc. costs, are the responsibility of LA Metro.
Studio T-SQ., Inc. served as the architect firm that designed the original building structure and the initial
interior design drawings. They have an adequate level of experience required to draft the plans and respond
to requests of the tenant on behalf of the City. It is to the City’s benefit to continue to contract with Studio
T-SQ., Inc. on this project given they have the necessary background knowledge of the building and
Metro’s needs.
FISCAL IMPACT:
The total project budget for tenant improvements, including labor, materials, furniture, fixtures and
equipment (FF&E), associated professional service costs, fees, and built-in contingencies, was
$3,111,498. Of this amount, the City’s contribution limit was $30 per square feet, or $246,180, which has
been expended to date. LA Metro representatives have agreed to charge any City overages to the remaining
project budget. Remaining and available FY 2024-25 budget is $2,250,031 under 4680000625-
7140/62519A-7140.

There is no fiscal impact to the City associated with the recommended action(s). Since the City has reached
its agreed upon contribution limit for project-related costs, the total cost for the PSA and Amendment with
Studio T-SQ., Inc. will come from LA Metro’s project budget.

FIRST AMENDMENT TO
AGREEMENT FOR PROFESSIONAL SERVICES
1. PARTIES AND DATE.
This First Amendment to the Agreement for Professional Services (“First Amendment”) is
entered into on the ____day of May, 2025, by and between the City of Azusa (hereinafter referred
to as the “City”) and Studio T-SQ., Inc. (hereinafter referred to as the “Consultant”). City and
Consultant are sometimes collectively referred to herein as the “Parties.”
2. RECITALS.
2.1 Agreement. The Parties entered into that certain Agreement for architectural design
development, cost estimation, bid support, FF&E coordination, and construction administration
services for the Promenade at Citrus Project dated August 20, 2024 (“Agreement”).
2.2 First Amendment. The Parties now desire to amend the Agreement in order to
revise ‘Exhibit A’ to amend the scope of services, AND increase the Consultant’s total
compensation amount for said services.
3. TERMS.
3.1 Section 3.1.1 of the Agreement entitled “General Scope of Services” shall be
amended to read as follows:
“3.1.1 General Scope of Services. Consultant promises and agrees to furnish to the
City all labor, materials, tools, equipment, services, and incidental and customary work
necessary to fully and adequately supply the professional architectural design services
necessary for the Project, including design and construction documents development,
permitting and plan check, cost estimation, bid support, fixture, furniture & equipment
(FF&E) coordination, and construction administration (“Services”). The Services are
more particularly described in Exhibit “A” attached hereto and incorporated herein by
reference. All Services shall be subject to, and performed in accordance with, this
Agreement, the exhibits attached hereto and incorporated herein by reference, and all
applicable local, state and federal laws, rules and regulations.”
3.2 Section 3.1.2 of the Agreement entitled “Term” shall be further amended to read as
follows:
“3.1.2 Term. The term of this Agreement shall be extended through June 30, 2026
unless earlier terminated as provided in the original Agreement. Consultant shall complete
the Services within the term of this Agreement, and shall meet any other established
schedules and deadlines. The Parties may, with City Manager approval and by mutual
written consent, extend the term of this Agreement if necessary to complete Services.

3.3 Section 3.3.1 of the Agreement entitled “Compensation” shall be further amended
to read as follows:
3.3.1 Compensation. Consultant shall receive compensation, including authorized
reimbursements, for all Services rendered under this First Amendment at the rates set forth
in Exhibit “C” attached hereto and incorporated herein by reference. The total
compensation shall be increased by $36,964 for an Agreement grand total of $221,058
including reimbursable expenses through June 30, 2026, unless further extended.
3.4 ‘Exhibit A’ (Scope of Services), ‘Exhibit B’ (Schedule of Services), and ‘Exhibit
C’ (Compensation) of the Agreement are hereby amended as attached hereto.
4. CONTINUATION OF EXISTING PROVISIONS.
Except as otherwise specifically set forth in this First Amendment, all remaining provisions
of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Second Amendment to

EXHIBIT “A”
SCOPE OF SERVICES
The Architect shall provide the design services and documentation for the bidding and construction of
the non-structural Tenant Improvements for the LA Metro Security Services Office at The Promenade at
Citrus, 890 The Promenade, Azusa CA. The Architect’s services shall include modifications to the existing
Building Shell and Plumbing, Mechanical, Electrical, and Fire Protection Systems.
This Proposal’s Scope of Work is for Architectural design services, except for Client-provided consultants
the Consultants’ design services, anticipated to be hired by the Architect and under its scope of work for
coordination, are included with related scope and fees. Specifically, these include updated MEP, Fire &
Sprinkler, FF&E, and Cost Estimation services.
The project will be designed based on the City of Azusa zoning and design standards, as well as the
client’s provided program. (Hereinafter referred to as the “Project”).
A. Task 1 - Discovery - Preliminary Design & Programming
The Architect will coordinate the services of a laser measuring firm (Client provided) to measure and
prepare Revit base drawings of the readily visible existing building conditions specific to the building at
890 The Promenade, Azuza, CA 91702. Further, the Architect will coordinate with the Client-provided
programming documents and requirements for the development of the building as a security office. The
Architect will meet with the City of Azuza (Planning, Building and Fire) to verify City requirements for the
project and coordinate with the City to understand their preferred permit submittal requirements.

offices, and shared common spaces and support facilities for client’s review and approval.

APPROVAL: At completion of the Schematic Design phase, Architect will present the
current design in an SD drawing packet. Client will review and approve the design and
documentation (with comments, if necessary) prior to Architect proceeding with Design
Development phase.
MEETINGS: Budget anticipates (3) three project team coordination meetings. Additional
meetings, if required, will be billed on an hourly basis.
C. Task 3 - Design Development
Based upon the approved Schematic Design package, Architect will collaborate with Client and Design
Consultants to provide code compliant design solutions and prepare dimensioned building plans,
elevations and sections, major details, preliminary schedules and outline specifications. In addition,
Architect will collaborate with consultants, including, structural, (if necessary), MEP, and others, as
required per the approved fee breakdown, to establish the basis of design for consultant work related to
the overall project.

proceeding with Construction Documents phase.
MEETINGS: Budget anticipates (4) four project team coordination meetings.

A cost estimation study was carried out based on the finalized 100% schematic design to confirm the
project scope. To align with the project schedule and provide appropriate validation for the cost estimate,
the MEP team was also involved in the design development phase based on the approved 100% schematic
design.
Based on the updated cost estimation, which includes the MEP scope for the full build-out, the Client's
project scope was found to be significantly over budget. As a result, it became necessary to phase out
certain elements of the project scope to bring costs back within budget.
The Client provided direction for a value engineering exercise, which included:
• Phasing studies with continued rounds of cost estimation feedback to define which scope of work
could be kept within budget.
• Reconfiguring two-thirds of the floor plan to allow Transit Security to occupy the building in Phase
1 by switching locations with the Contract Security team
• A complete redesign of the MEP system based on the updated floor plan
Per the Client's direction, based on the cost estimate analysis conducted during Task 3, the project scope
will be divided into two phases:
1. Phase 1 (to commence as planned)
a. 3,595 square feet of tenant improvement work
b. LA Metro Transit Security office and locker room spaces per approved design development
plans
c. Main lobby / entryway
d. Shared briefing room
e. Shared server room
f. Janitor’s closet
g. Office space for LA Metro’s homeless outreach program
2. Phase 2 (to commence once new funding is approved)
a. 4,611 square feet of tenant improvement work
b. Contract Security office and locker room spaces per approved design development plans
c. Ambassador program office and locker room spaces per approved design development plans
d. Wellness room
e. Shared kitchen / breakroom space
D. Task 4 - Construction Documents
Based upon the approved Design Development drawings, outline specifications and Client provided
construction cost estimate, Architect will collaborate with Client and Client’s Consultants to prepare
dimensioned building plans, dimensioned elevations and sections, major details, schedules and
specifications in a single permit submittal package of Construction Documents.

area totals

documentation and permitting for Phase 2 will require a new agreement if LA Metro decides to proceed
with the design in the future.
E. Task 5 - Permitting and Plan Check
Architect, in collaboration with Architect’s consultants, will coordinate with the city and/or the city’s
outside plan check review entity, or Client provided permit consultants to assist Client in obtaining a
permit for construction.
AGENCY PROCESSING: To assist the Client, the Architect will apply for the Building
Permit and submit Construction Documents for the plan check process. The Client is
responsible for all plan check fees. Architect cannot predict the exact review time or
quantity of plan check comment rounds that will be required by the plan checking
review process of the Authority Having Jurisdiction (AHJ).
MEETINGS: Meeting budget anticipates (2) two rounds of plan checks during
Agency Processing. Additional rounds, if required, will be billed on an hourly
basis.
The scope outlined under Task 5 of this agreement will apply only to Phase 1 of the project. Any further
documentation and permitting for Phase 2 will require a new agreement if LA Metro decides to proceed
with the design in the future. Please refer to the description of the project phases in the amendment to
the Task 3 clause.
F. Task 6 - Bid Support Services
The Architect, following the Client's approval of the Construction Documents, shall assist the Client with
the following:
• Answering Bidding questions/Responding to requests for clarification

• Job Walk/field observation notes for each site visit.
• One round of Punch List Review/Walk-Through/Closeout
• Fee basis is construction duration of 4 months (16) weeks total with six (6)
hrs./week average at $180/hr. average rate.
The scope outlined under Task 6 of this agreement will apply only to Phase 1 of the project. Any further
documentation and permitting for Phase 2 will require a new agreement if LA Metro chooses to proceed
with the design in the future. Please refer to the description of the project phases in the amendment to
the Task 3 clause.
G. Task 7 – Fixtures. Furniture & Equipment Coordination
The Architect will coordinate with Vendor to provide product line recommendations in
accordance with Client’s stated budget as part of the concept interior design submittal
package. Interior Designer to be hired directly by Client.
Vendor Coordination: Vendor will provide Interior Designer with Fixtures, Furniture, and
Equipment schedule and layout diagrams to be incorporated into Interior Designer’s
deliverables.
The scope outlined under Task 7 of this agreement will apply only to Phase 1 of the project. Any further
documentation and permitting for Phase 2 will require a new agreement if LA Metro chooses to proceed
with the design in the future. Please refer to the description of the project phases in the amendment to
the Task 3 clause.
H. Task 8 - Construction Administration
Based on the Permit Set of drawings and specifications, Architect will respond to Contractor RFI’s, issue
ASI’s, as required, and will provide review of submittals consisting of contractor/supplier shop drawings,
samples and product data. As requested by the Client, Architect to provide four (4) site visits over the
course of four (4) months of construction only to determine if the construction is proceeding in general
conformance with the architectural design intent of the construction drawings and specifications
prepared by Architect. Additional site visits in accordance with Client’s request will be regarded as
Additional Services. Architect shall not have control over, charge of, or responsibility for the construction
means, methods, techniques, sequences or procedures, construction delays due to others or force
majeure, or for safety precautions and programs in connection with the work of Client’s contractor, nor
shall Architect be responsible for the contractor’s failure to perform the work in accordance with the
requirements of the Contract Documents prepared by Architect. Architect shall not have control over or
charge of, and shall not be responsible for, acts or omissions of the contractor or of any other persons or
entities performing portions of the work. Architect’s review of submittals is not for the purpose of
determining the accuracy and completeness of other information such as dimensions, quantities, and
installation or performance of equipment or systems, which are the contractor’s responsibility. Architect’s
review shall not constitute approval of safety precautions or of any construction means, methods,
techniques, sequences, schedules, or procedures. Architect’s approval of a specific item shall not indicate
approval of an assembly of which the item is a component. Fees established for this phase are for one
general contractor constructing the entire project in a single phase. Architect’s obligation to provide Basic
Services under this Agreement will end when the final Certificate for Payment is signed by Architect, or in
the absence of a final Certificate for Payment, sixty days after the Date of Substantial Completion of the
Work, whichever occurs first.

EXCLUSIONS AND ADDITIONAL SERVICES
A. Exclusions from Basic Services
The following items, unless specifically included in Architect’s services, are specifically excluded from
the services to be performed by Architect under this Agreement.
1. Preparation of any drawings or specifications normally included in the services of a
landscape architect, civil engineer, structural engineer, mechanical engineer, electrical
engineer, plumbing engineer, acoustical engineer, or other design/engineering disciplines.
2. De-watering design and engineering
3. Shoring design and engineering.
4. Graphics/Signage consultant
5. Traffic and parking consultant
6. Elevator consultant
7. Special consultants required for gas, water or asphalt conditions.
8. Design or production of brochures
9. Interior design or decoration.
10. Renderings or models
11. The preparation of record documents
12. Construction cost estimates
13. Hazardous waste, toxic substances investigation, methane gas responsibility or any
remediation services
14. Building Envelope Design (specialized waterproofing)
15. Exterior Building Maintenance/Window Washing Design
16. Revit modeling or documentation beyond Level of Detail 200
17. BIM Clash detection
18. Services related to peer reviews, constructability reviews, or similar third party or QA
reviews or documentation
19. Services related to RFI’s (Requests For Information) prior to the commencement of the
Construction Administration phase of services from a general contractor, subcontractor, or
similar party
20. Services related to BIM (Building Information Modeling) provided by others
21. Value Engineering related services
22. Any services not otherwise specified in the Agreement as part of the Work

B. Additional Services
Revisions to the drawings and other documents previously prepared by Architect that are required
as a result of the events listed below shall be Additional Services, for which Architect shall be paid by
Client, and which shall commensurately extend the time within which Architect shall perform the
services:
1. Services necessitated by a change in previous instructions or approvals given by the Client,
or a material change in the Project or Client’s program including, but not limited to, size,
quality, complexity, the Client’s schedule or budget for Cost of the Work, or procurement or
delivery method;
2. Services necessitated by Client’s request for environmentally responsible design
alternatives, such as unique system designs, material research, energy modeling, or LEED®
certification;
3. Changing or editing previously prepared drawings or specifications necessitated by the
enactment or revision of codes, laws or regulations or official interpretations following
Architect’s preparation of such documents;
4. Services necessitated by decisions of Client not rendered in a timely manner or any other
failure of performance on the part of Client or Client’s consultants or contractors;
5. Preparation of design and documentation for alternate bid or proposal requests proposed
by Client;
6. Preparation for, and attendance at a dispute resolution proceeding or legal proceeding,
except where Architect is party thereto;
C. Hourly Rates
For Compensation on an hourly basis, please refer to the current Hourly Rate Schedule.
D. Compensation for Reimbursable Expenses
Reimbursable Expenses are in addition to compensation for Basic, Supplemental, and Additional
Services and include expenses incurred by the Architect directly related to the Project, with a
15% additional mark-up for administrative handling, as follows (unless otherwise noted below):
1. Transportation and authorized out-of-town travel and subsistence;
2. Long distance services, dedicated data and communication services, teleconferences,
Project web sites, and extranets;
3. Permitting and other fees required by authorities having jurisdiction over the Project;
4. Printing, reproductions, plots, and standard form documents;
5. Postage, handling, and delivery;
6. Expense of overtime work requiring higher than regular rates, if authorized in advance by
the Client;
7. Renderings, physical models, mock-ups, professional photography, and presentation
materials requested by the Client or required for the Project;
8. If required by the Client, and with the Client’s prior written approval, the Architect’s
consultants’ expenses of professional liability insurance dedicated exclusively to this Project,
or the expense of additional insurance coverage or limits in excess of that normally
maintained by the Architect’s consultants;
9. All taxes levied on professional services and on reimbursable expenses;
10. Site office expenses;
11. Registration fees and any other fees charged by the Certifying Authority or by other entities
as necessary to achieve the Sustainable Objective; and,

12. Other similar Project-related expenditures.
13. Consultants retained by the Architect shall include a 15 % additional mark-up for
administrative handling.

C. Project Director II/Sr Proj Mgr II/Sr Proj Archt II at the fixed rate of: $185 per hour
D. Project Director I/Sr Proj Mgr I/Sr Proj Archt I at the fixed rate of: $175 per hour
E. Senior Designer II/Proj Mgr/ Proj Archt at the fixed rate of: $160 per hour
F. Job Captain II/Senior Designer I at the fixed rate of: $130 per hour
