SUBJECT: APPROVAL OF SECOND AMENDMENT TO AGREEMENT FOR MAINTENANCE
SERVICES BETWEEN THE CITY OF AZUSA AND MARISPOSA LANDSCAPE INC.
BACKGROUND:
Mariposa Landscapes Inc. has been providing landscape and irrigation maintenance services at City parks,
parkways, median islands, and Azusa Light & Water owned sites since 2022. On June 6, 2022, the City
Council awarded a maintenance agreement for a three-year term which is set to expire on June 30, 2025.
The contract allows the option to extend the agreement to 2 additional one-year terms. Staff would like to
exercise the first of two, one-year extension to the landscape and irrigation maintenance services contract.
RECOMMENDATION:
Staff recommends the City Council take the following actions:
1)Approve the Second Amendment to the Maintenance Services Agreement between the City of
Azusa and Mariposa Landscapes Inc. for landscape and irrigation maintenance services; and
2) Authorize the City Manager to execute the Contract Amendment, in a form acceptable to the City
Attorney, on behalf of the City.
ANALYSIS:
On March 21, 2022, City council approved and authorize City staff to solicit a notice of inviting bids for
City-wide landscape maintenance services. A formal bidding process was conducted for the contract. The
formal bid opening was held on April 22, 2022, with four (4) landscape companies participating. They
were received from Mariposa Landscapes Inc., Orozco Landscape and Tree Co., Merchants Landscapes
Services, and Brightview Landscape Services. It was recommended that this bid be awarded to the lowest
responsible bidder, Mariposa Landscape Inc., whose references came back exemplary.
Mariposa Landscapes Inc. has been providing landscape and irrigation maintenance services at City parks,
parkways, median islands, and Azusa Light & Water owned sites since 2022. On June 6, 2022, City

Council awarded a maintenance contract for a three-year term which is set to expire next year on June 30,
2025. The contract allows the option to extend the agreement for 2 additional one-year terms upon
Council’s approval. Staff would like to exercise the first of two, one-year extension to the landscape and
irrigation maintenance contract, which would extend the agreement from July 1, 2025 to June 30, 2026.
The city has recently completed the construction of Great Park and is close to finishing the Canyon City
Dog Park. As well as the addition of the Great Park, the parkway at Rosedale and parkway planters and
popouts at the Promenade, the city is proposing to amend the landscape and irrigation maintenance
services agreement with Mariposa Landscaping Inc. to include these areas. The addition of the previously
listed areas to the agreement will include a monthly increase of $6,385 totaling $76,260 annually.
Due to increased operation costs for labor, fuel, recycling, and insurance premiums, Mariposa Landscapes
Inc. is requesting a slight cost adjustment of 3% based on the Consumer Price Index (CPI) for the region
for the new agreement. The agreement will be increased to an amount not to exceed $573,355.
FISCAL IMPACT:
The Mariposa Contract is paid with Rosedale Park Maintenance (acct #37-55-420-000-6493) and General
Fund (acct #10-55-420-000-6493 and #10-55-420-001-6493) funding. With the additional locations to the
scope of work and the CPI adjustment the amendment will increase the contract $90,739 annually, with
an amount not to exceed $573,355. The funds will be requested through the proposed FY 2025-26 budget
approval process under General Fund Account #10-55-420-000-6493.

SECOND AMENDMENT TO MAINTENANCE SERVICES
AGREEMENT BETWEEN
THE CITY OF AZUSA
AND
MARISPOSA LANDSCAPES INC. SERVICES
FOR LANDSCAPE AND IRRIGATION SERVICES
1. PARTIES AND DATE.
This Second Amendment to the Agreement for Maintenance Services (“First
Amendment”) is entered into on the ____ day of May 2025, by and between the City of Azusa
(hereinafter referred to as the “City”) and Mariposa Landscapes, Inc. (hereinafter referred to as the
“Contractor”). City and Contractor are sometimes collectively referred to herein as the “Parties.”
2. RECITALS.
2.1 Agreement. The Parties entered into that certain Agreement for City Wide
Landscaping and Irrigation Maintenance Services dated June 23, 2022 (“Agreement”).
2.2 First Amendment. The Parties amended the Agreement to include the Arrow
Highway corridor in the schedule of maintenance services and increase the contract compensation,
for a total amount not-to-exceed $482,616.
2.3 Second Amendment. The Parties now desire to amend the Agreement to extend
the Agreement for an additional one-year term, from July 1, 2025 to June 30, 2026, and increase
the contract compensation to include the Great Park in the schedule of maintenance services, for a
total amount not-to-exceed $573,355.
3. TERMS.
3.1 Scope of Services. The scope of services of this Agreement shall remain unchanged
and in full force and effect.
3.2 Fees and Payments.
3.2.1 Compensation. Contractor shall receive compensation, including
authorized reimbursements, for all Services rendered under this Second Amendment
including the rates set forth in Exhibit A attached hereto and incorporated herein by
reference. The total compensation shall not exceed Five Hundred Seventy-Three Thousand
Three Hundred Fifty Five and No Cents ($573,355) without written approval of the City
Council.
3.4 Remaining Provisions of Agreement. Except as otherwise specifically set forth in
this First Amendment, the remaining provisions of the Agreement shall remain in full force and
effect.

IN WITNESS WHEREOF, the parties have executed this Second Amendment to
Agreement on this ___ day of May, 2025.

Description This proposal provides for all labor, material, and equipment to perform
weekly Maintenance at Great Park in the City of Azusa.
Scope includes: - This proposal will comply with the existing 22 – 25 Landscape and irrigation
contract.
Mowing will be done using Rotary Mowers.
Exclude: - gate valves, control valves, valve boxes, quick couplers, backflow devices,
anti-vandal cages, controllers and battery replacements.
Price Total monthly price for full scope ............................................... $6,385.00
Total monthly price excluding fertilizer and seed……………………….$5,467.00
Terms: Per current contract.
Exclusions: Any unforeseen underground obstacles, and anything not mentioned.
Time Project start date is currently upon acceptance of proposal.
Limits Time limit for the acceptance of this proposal is 30 calendar days from the
above date.

RE: City of Azusa Citywide Landscape and Irrigation Maintenance Project No. 22-25 – Request
for Contract Extensions and CPI Increase
Dear Mr. Chavez,
Mariposa Landscapes, Inc., hereby requests the renewal of our current landscape maintenance
contract for an additional year. This is the 1st of 2 extensions available. With your approval, the
extension will begin on July 1, 2025, and end June 30, 2026.
In addition, due to increased operating costs we are requesting that our current contract price
and unit prices be adjusted up 3 % effective July 01, 2025. This increase is equal to the most
recent CPI (Consumer Price Index) available.
I would like to take this opportunity to thank you for allowing Mariposa Landscapes, Inc. to
provide professional landscape maintenance services to the City of Azusa. We look forward to
continuing our partnership servicing the city and its constituents for many years to come.
