Approve Amendment of Task Order for Small Business Audit and Retrofit Program CONSENT ITEM E-5 TO: HONORABLE CHAIRPERSON AND MEMBERS OF THE AZUSA UTILITY BOARD FROM: TIKAN SINGH, GENERAL MANAGER DATE: JANUARY 23, 2023 SUBJECT: APPROVE AMENDMENT OF TASK ORDER FOR RICHARD HEATH AND ASSOCIATES, INC. FOR SMALL BUSINESS AUDIT AND RETROFIT PROGRAM SERVICES BACKGROUND: The Azusa Light & Water Utility Board recently approved the extension of the Richard Heath and Associates, Inc. (RHA) utility audit and retrofit services for lighting and other energy efficiency (EE) measures program. Due to an administrative oversight, a task order still needs to be updated to coincide with the Southern California Public Power Authority (SCPPA) joint purchasing agreement. The task order must be amended to include the additional funds from January 1, 2018 to January 1, 2024. There are no financial impacts from rectifying this administrative oversight. RECOMMENDATION: Staff recommends the Utility Board approve the following actions: 1) Approve the amended SCPPA Task Order for the Small Business Audit and Retrofit Program Richard Heath and Associates, Inc. at a program cost not to exceed $756,761.54 through a SCPPA joint purchase agreement pursuant to AMC Sections 2- 520(b) “sole source” and 2-521(a) “cooperative and piggyback purchases”; and 2)Authorize the General Manager to execute the SCPPA Task Order in a form acceptable to the City Attorney. ANALYSIS: SCPPA recently discovered an administrative oversight where task orders with multiple member utilities were not updated to coincide with the SCPPA joint purchasing agreement (JPA) from January 1, 2018 to the co-terminus date of January 1, 2024, when the Master Goods and Service Approved Utility Board 01/23/2023 Amendment of Task Order for Small Business Audit and Retrofit Program January 23, 2023 Page 2 of 2 Agreement expires. As a result, the utilities must amend their associated task orders to concur with the agreement. There are no other financial impacts on the current budget since all invoices totaling $666,761.54 were paid on time within the previously approved budgets, and the additional $90,000 was previously approved for the current annual budget cycle, resulting in a total amended task order amount of $756,761.54. FISCAL IMPACT: The previously approved annual $90,000 projected program cost has been budgeted under Public Benefit Fund Energy Efficiency Program account no. 24-40-739-082-6625 for the fiscal year 2022-2023. Contractor, SCPPA and the Participating Member (“Participant”) identified above agree that Contractor shall provide the Services specified herein pursuant to the terms and conditions of the Master Goods and Services Agreement (“Agreement”) between SCPPA and Contractor dated January 1, 2018, and as amended on December 17, 2020, except as specifically modified herein. Scope of Services Contractor shall provide the Small Business Audit and Retrofit Program services for the Participant’s small commercial, industrial, and municipal facilities as described in Exhibit A of the Agreement (the “Scope of Services”). Compensation and Schedule The total amount payable to Contractor for the Scope of Services, under this Task Order No. ALW-01, shall not exceed $756,761.54 (the “Maximum Amount”) effective January 1, 2018 with a termination date co-terminus with the Agreement expiration (January 1, 2024). Payment shall be based on the fees set forth in Exhibit A to this Task Order, provided, however, that payment shall not exceed the amounts so specified per fiscal year as stated in the paragraph above, as well as the Maximum Amount identified in the paragraph above. Contractor shall provide notice to SCPPA and the Participant prior to and upon reaching the Maximum Amount. Any services provided by Contractor in excess of this authorization, and without prior execution of an amendment hereto by the Parties, shall be at Contractor's sole risk and without payment. The total payment, rebates and incentive limits for the above referenced Services are set forth in Exhibit A of this Task Order. Participant agrees to be responsible for any and all fees, costs and expenses invoiced to SCPPA by Contractor for work performed on behalf of, or for the benefit of, Participant pursuant to the Agreement. Participant agrees to indemnify, defend and hold harmless SCPPA, all other members and their respective directors, officers, agents, representatives, employees, successors and assigns from and against any and all losses, injuries, costs and expenses, damages, liens, claims, or liabilities, including reasonable attorney’s fees, incurred by SCPPA in connection with the work performed for the benefit of, or on behalf of, Participant pursuant to the Agreement, except for the gross negligence or willful misconduct of SCPPA or such other SCPPA members, and their officers, agents, representatives or employees.
