Approve Extenion of PSA with APX Inc. for Real-Time Energy Scheduling ServicesCONSENT ITEM E-2 TO: HONORABLE CHAIRPERSON AND MEMBERS OF THE AZUSA UTILITY BOARD FROM: TIKAN SINGH, GENERAL MANAGER DATE: APRIL 24, 2023 SUBJECT: APPROVE EXTENSION OF PROFESSIONAL SERVICES AGREEMENT WITH APX INC. FOR PROVISION OF REAL-TIME ENERGY SCHEDULING SERVICES BACKGROUND: The California Independent System Operator (ISO) and the North American Electric Reliability Corporation (NERC) mandate that electric utilities interconnected within the California ISO system maintain 24-hour real-time scheduling functions. Since Azusa does not maintain the real-time energy scheduling functionality in-house, Azusa contracts for this mandatory service. APX, Inc. (APX) has effectively provided this service to Azusa Light & Water (ALW) since 2015, and Staff recommends extending the term of the existing agreement through June 30, 2026. RECOMMENDATION: Staff recommends the Utility Board take the following action: 1)Approve Amendment No. 4 to the PSA with APX extending the term of the Agreement through June 30, 2026 with a $5,250 monthly cost; 2)Authorize the General Manager to execute Amendment No.4 professional services agreement between the City of Azusa and APX, Inc. ANALYSIS: Real-time scheduling is a very demanding and complex function from operational compliance and economics standpoints. Only some vendors can satisfy these requirements at an acceptable service level. A significant amount of experience is required to perform the required scheduling services successfully. Since 2015 APX has successfully understood ALW’s resource portfolio and has Approved Utility Board 04/24/2023 Extension of APX PSA April 24, 2023 Page 2 prudently acted on ALW’s behalf when contingencies occur, such as power plant de-rates and/or transmission outages. APX has offered to continue the scheduling services at the rate of $5,250/month for three (3) years. A cursory review of the scheduling services market indicates APX continues to be the lowest-cost provider. Accordingly, Staff recommends an extension of the existing service agreement with APX for an additional three-year period (July 2023-June 2026). FISCAL IMPACT: The total annual service cost will be $63,000. Funds will be proposed to be budgeted for FY 2023 – FY 2024 to cover the cost of real-time services. This AMENDMENT NUMBER No.4 TO THE PROFESSIONAL SERVICE S AGREEMENT (“Amendment No. 4”) is entered into this _____ day of _____, 2023 by and between the City of Azusa, a municipal corporation organized under the laws of the State of California with its principal place of business at 213 East Foothill Boulevard, Azusa California 91702 (“City”) and APX, Inc., a California corporation with its principal place of business at 2150 N. 1st St, Suite 200, San Jose, CA 95131 (“Consultant”). City and Consultant are sometimes individually referred to herein as “Party” and collectively “Parties.” This Amendment No. 4 amends the Professional Services Agreement, effective March 30, 2015, as previously amended, (the “Agreement”). The purpose of this Amendment No. 4 is to, among other things, further extend the term of the Agreement. If there are any conflicts between the Agreement and this Amendment No. 4, this Amendment No. 4 shall control. The Agreement is hereby amended as follows: 1. Section 3.1.2 Term is hereby amended as follows: “The Initial Term is hereby extended for the extended term from July 1, 2023, through June 30, 2026. 2. The Monthly Service Fees (Agreement, Exhibit B, as amended) shall remain in effect for the Term with the changes described in Section 6.2 of Amendment No. 3. Should City require additional Consultant resources or services (the “Additional Services”), City shall submit a written request to Consultant. Any such Additional Services shall be subject to the prior mutual written agreement of the Parties regarding the scope and cost of Additional Services prior to Additional Services commencing by CONSULTANT. 3. Per Section 6.2 of Amendment No. 3, a flat price increase of 5% will be applied to the total sum of the services provided during the extended Term as set forth in Section 3.1.2. . As a result, the New Monthly Total is $5,250.00. 4. Exhibit A-1 through A-5 set forth the specific services to be supplied to City by Consultant. Changes to the exhibits may be needed as power market conditions and/or rules change over the term of the Agreement. These changes shall only be made upon the prior mutual written agreement of the Parties. If there are material changes requiring Additional Services by Consultant, such Additional Services shall only be provided upon the prior mutual written agreement of the Parties as to the Additional Services needed as well as any additional fees proposed by Consultant. Except as otherwise specifically set forth herein, all other terms and conditions of the Agreement, as previously amended, remain in full force and effect. Definitions. 1.1. “Auto-Pilot” means City will receive any communications regarding any issues on City schedules or dispatches automatically and programmatically from APX MarketSuite® system via text, email and/or phone. 1.2. “Authorized Users” means persons authorized by City in accordance with this Agreement. 1.3. “City Contact List” has the meaning set forth in Section 4.1. 1.4. “Communication” has the meaning set forth in Section 4.1.2 1.5. “CAISO” means the California Independent System Operator. 1.6. “Market Operations Support Services” has the meaning set forth in Section 4. 1.7. “Market Participant ID(s)” means the relevant Scheduling Entity registered with the applicable ISO. 1.8. “Sentinel Services” means APX MarketSuite® database checks against City submissions based on City expected scheduling behaviors. 2. Authorized User. City may establish Authorized Users to access the Services pursuant to this Amendment 4. No Authorized User may assign or transfer its access or any rights therein to any Third- Party City. City and Authorized Users shall immediately notify CONSULTANT in the event that City or an Authorized User becomes aware of any violation of the terms of this Agreement. City may update its list of Authorized Users from time to time by written notice to CONSULTANT. The initial list of Authorized Users shall be as set forth on the signature page of this Amendment 4. 3. Account Protection. City and all Authorized Users shall protect the confidentiality of all Authorized User account information, including usernames and passwords. In the event that an Authorized User becomes aware that the security of such party’s login information has been breached, the party shall immediately notify CONSULTANT and CONSULTANT shall immediately de-activate such Account or change the Account’s login information. City and Authorized Users may not, and may not permit any Third Party City to: (i) copy, reproduce, modify, translate, prepare derivative works of, de-compile, reverse engineer, disassemble or otherwise attempt to derive source code from the Services; (ii) use, evaluate or view the Services for the purpose of designing, modifying, or otherwise creating any environment, program, or infrastructure or any portion thereof, which performs functions similar to the functions performed by the Services; or (iii) remove, obscure, or alter any copyright notice, trademark, logos and trade names, or other proprietary rights notices affixed to, or contained within the Services. 4. CAISO Market Operations Support Services. CONSULTANT will provide City with market operations support services (the “Market Operations Support Services”) as described below. 4.1. Phone Answering Support 4.1.1. City is responsible for providing CONSULTANT with a list of individuals to be contacted (the “City Contact List”), including phone numbers, email addresses, and contact hours along with a list of the applicable (“Market Participant IDs.”) that CONSULTANT will be supporting. City is responsible for maintaining the accuracy and currency of the City Contact List at all times and any changes to such City Contact List must be updated on Exhibit A and provided to CONSULTANT City Services group, via email, with at least three (3) days’ advance notice. The individuals on the City Contact List will be Authorized Users for purposes of this Amendment 4. 4.1.2. CONSULTANT will be handling any communication with CAISO to facilitate any instructions or inquiries (“Communication”) that City receives from CAISO and/or City’s counterparties regarding City schedules in the Real Time market only. As required by CAISO, City will forward their real time phone number to CONSULTANT on a continuous basis. 4.1.2.1. City’s Real Time Number: (626) 812-5138 4.1.2.2. Any communications from CAISO and/or counterparties will be documented and relayed back to City via approved communication methods. 4.1.2.3. CONSULTANT shall not answer any City business-related questions from callers or senders and is not required to provide any additional assistance to callers or senders other than as described in this Amendment 4. 4.1.3. CONSULTANT will promptly thereafter initiate contact to the City Contact List and relay the contents of the Communication. CONSULTANT will call for issues that are deemed urgent as outlined below. Communications with non-urgent issues will be emailed to the City Contact List. In the event that CONSULTANT is not able to contact the City Contact List via phone for urgent issues, CONSULTANT will email the City Contact List with the contents of the respective Communication. 4.1.3.1. Urgent communications to be escalated are: Real Time events APX staff seek immediate guidance including but not limited to CAISO schedule changes unfamiliar to APX staff 4.1.3.2. Non-Urgent communications to be emailed are: Import curtailments, tag changes 4.1.4. CONSULTANT has no liability to City in the event that the City Contact List is exhausted with no response from City’s designated personnel. 4.1.5. Except in the event of an outage caused by one or more service providers to CONSULTANT, CONSULTANT will record all calls received on behalf of City and will maintain digital copies of all such incoming calls during the term of this Amendment 4. In the event that City requests CONSULTANT to retrieve the contents of such call(s), City shall provide CONSULTANT with at least seven (7) days’ advance notice and shall pay CONSULTANT the fees associated with such retrieval on a time and materials basis at the hourly rate set forth below. CONSULTANT shall provide the contents of such calls to City through email as a voice file or in such other manner that the Parties may agree. 4.1.6. List of Applicable Market Participant ID’s CONSULTANT is providing Market Operations Support for: Region MP ID CAISO AZUA WECC AZUS01 2.1.7 During business resiliency events, CONSULTANT has the authority to enable (“Auto- Pilot”). Any communications regarding any issues on City schedules will be sent programmatically to City via text, email and/or phone. 5. Support and Maintenance. All Authorized Users will have access to the Contact CONSULTANT functionality within APX MarketSuite®. Support and maintenance service entitles City to access CONSULTANT City Services Manager via telephone or the City Services Manager email five (5) days a week, eight (8) hours a day (9am-5pm PT). CONSULTANT City site services, if necessary, shall be billed at CONSULTANT's rates for the service requested. 6. Fees and Payment. CONSULTANT’s Compensation, pursuant to Exhibit B of the Agreement, as amended and are due upon presentation to City. 6.1. Additional Fees. Should City request from CONSULTANT and CONSULTANT agree to provide additional services pursuant to this Amendment 4, the fee for such Additional Services shall be billed to City at the One-Time Fees rate. 6.2. Adjustment. The fee(s) for the Services may be adjusted not greater than five percent (5%) above the previous Term’s fee(s). 7. Authorized User. City may establish Authorized Users to access the Services pursuant to this Amendment 4. No Authorized User may assign or transfer its access or any rights therein to any Third- Party Citys. City and Authorized Users shall immediately notify CONSULTANT in the event that City or an Authorized User becomes aware of any violation of the terms of this Agreement. City and Authorized Users may not, and may not permit any other party to: (i) copy, reproduce, modify, translate, prepare derivative works of, de-compile, reverse engineer, disassemble or otherwise attempt to derive source code from the Services; (ii) use, evaluate or view the Services for the purpose of designing, modifying, or otherwise creating any environment, program, or infrastructure or any portion thereof, which performs functions similar to the functions performed by the Services; or (iii) remove, obscure, or alter any copyright notice, trademark, logos and trade names, or other proprietary rights notices affixe d to, or contained within the Services. 9. City Obligations. Throughout the Term of the Agreement, City shall: 9.1. Ensure authorized City personnel are available to CONSULTANT City Services Managers as needed. 9.2. Cooperate with data or action requests of CONSULTANT that are necessary to enable CONSULTANT to provide the Services hereunder. 9.3. Advise of any operational change in registration status, communication system degradation, or technical difficulties as soon as practicable after first notice of such events; and 9.4. Definitions. 10.1. “SaaS Services” means the transaction scheduling services to be provided by CONSULTANT hereunder as an outsource information provider. 10.2. “Scheduling” means all acts in furtherance of meeting a statement of City electricity demand or a statement of bilateral transaction and/or asset and intertie activity, including quantity, duration, and location. 10.3. “Technology Infrastructure” means the entire applications service system, including hardware, software, firmware, and communications pathways. 10.4. “Third Party Citys” means any other entity, including business units or affiliates of City, for which City is obligated to perform services. 11. SaaS Services: CONSULTANT will provide a web-based graphical user interface application and application program interface (“API”) that will enable City to interact with CAISO to schedule transactions with respect to the Assets/Interties (listed below under DA Scheduling) and engage in related Scheduling activities under City’s Market Participant identifiers. CONSULTANT will support City’s use of the systems for City-to-CAISO and CAISO-to-City communications as required by CAISO Protocols. Communications will be handled in such a way that City’s schedules and bids submitted via the CONSULTANT systems will appear to CAISO as a direct submission from City. Any communications regarding any issues on City schedules will be sent via text, email and/or phone. List of Applicable Market Participant ID’s CONSULTANT is providing Market Operations Support for: Region MP ID CAISO AZUA WECC AZUS01 11.1. Day-Ahead (DA) Scheduling: City of Azusa is responsible for scheduling the DA prior to the DAM deadline of 1000 PPT on the day prior to the Trade Day via SIBR. Day-Ahead (DA) Scheduling Option: On a per request basis, with 1-2 week’s advanced notice, (but could be as late at TD-1 0830PT), City may ask CONSULTANT to perform Day Ahead scheduling. During these events when City personnel will be out of the office, City personnel will create and pre-submit day-ahead schedules into CAISO’s SIBR system in advance. City will also forward information on its pre-submitted Day Ahead schedules beforehand to CONSULTANT. 11.3 CONSULTANT Operations has (“Sentinel Checks”) enabled to ensure there are DA Generation Self-Schedules, Load Self-Schedules and Intertie Self-Schedules submitted by AZUA. Any communications regarding any issues on City schedules will be sent via text, email and/or phone. 11.4 CONSULTANT personnel(s) will monitor CAISO schedules to their completion when schedules are awarded by the CAISO. Any communications regarding any issues and or cuts to City schedules will be sent via text, email and/or phone. 11.5 During business resiliency events, CONSULTANT has the authority to enable Autopilot. Any communications regarding any issues on City schedules will be sent programmatically to City via text, email and/or phone. 11.6. Real-Time (RT) Scheduling Support: 11.6.1 After close of the DA market on the day prior to the Trading Day, CONSULTANT will become the responsible scheduling party on behalf of City (AZUA). 11.6.2 CONSULTANT Operations will submit the RTM TD+1 self-schedule in the APX MarketSuite®, which are based off of the DAM awards. Additionally, APX Operations will input and/or adjust AZUA transactions in the APX MarketSuite® and submit to the CAISO prior to the CAISO HA scheduling timelines. 11.6.3 Any communications regarding any issues on City schedules will be sent by CONSULTANT via text, email and/or phone. 11.6.4 During business resiliency events, CONSULTANT has the authority to enable Autopilot. Any communications regarding any issues on City schedules will be sent programmatically to City via text, email and/or phone. RT schedule changes are due to transmission/resource curtailments/outages and/or limitations from DA. 12. Set-Up Services: The Set-Up Services to be provided hereunder cover the necessary activities required to set-up (“Market Participant ID(’s)”) for City’s use for SaaS Services hereunder. The Set-Up Services will include the following: 12.1. Service activation and set-up: Includes the creation of unique login IDs, registration, and configuration within CONSULTANT systems and other internal CONSULTANT work related to establishing City as a CONSULTANT user including the configuration and testing of the API. 12.2. Initial user training on the CONSULTANT systems and process used to provide the SaaS Services. 12.3. City of Azusa email contact information to enable CONSULTANT to set up automated communication(s) – capabilities regarding potential scheduling issues. 13. Support and Maintenance. All Authorized Users will have access to the Contact CONSULTANT functionality within APX MarketSuite®. Support and maintenance service entitles City to access City Services Manager via telephone or the City Services Manager email five (5) days a week, eight (8) hours a day (9am-5pm PT). Onsite visits, if requested by City, shall be billed at CONSULTANT’s rates for the service requested. EXHIBIT A-3 CAISO DISPATCHING SERVICES 14. Definitions. 14.1. “AIM” means the use of CAISO’s Access Identity Management System 14.2. “ADS” means CAISO’s Automated Dispatch System 15. CAISO Dispatching Services: 15.1. Hourly Pre-Dispatches: Interties Following receipt of hourly pre-dispatch(s) in (“ADS”), for any of City intertie resource(s) listed below: • CONSULTANT Operations will have ADS AUTO ACCEPT dispatches for City intertie resources when there are no incremental/decremental (supplemental) changes • For any incremental/decremental (supplemental) changes to the resources that have been dispatched, CONSULTANT Operations will PARTIAL ACCEPT the DAM award values (e.g. DAM award is 10MWs, Hourly DOT is 5MWs, CONSULTANT will partially accept 10MWs to maintain DAM award) 15.2. Verbal Dispatchers Following receipt of any verbal dispatches from (“CAISO”) for City’s intertie or generation resources (listed below), CONSULTANT Operator will communicate the instructions to City personnel accordingly. CONSULTANT will always follow the Day Ahead schedule until a tag adjustment has been issued. The Set-Up Services will include the following: 16.1. CONSULTANT to get required certificate access through CAISO’s Access Identity Management System (“AIM”) for ADS access from City. 16.2. City email contact information to enable CONSULTANT to set up automated communication(s) – capabilities regarding potential dispatching issues. 17. Support and Maintenance. All Authorized Users will have access to the Contact CONSULTANT functionality within APX MarketSuite®. Support and maintenance service entitles City to access CONSULTANT City Services Manager via telephone or the City Services Manager email five (5) days a week, eight (8) hours a day (9am-5pm PT). CONSULTANT City site services, if necessary, shall be billed at CONSULTANT's rates for the service requested. EXHIBIT A-4 CAISO OUTAGE MANAGEMENT SERVICES 18. Definitions. 18.1. “OMS” means CAISO’s Outage Management System 19. Outage Management Services: 19.1 Forced/Planned/Testing Outages: CONSULTANT personnel will be responsible for entering all outage information into webOMS for the Garnet wind, San Dimas and Big Sky Solar facility resources. CONSULTANT has read/write access only to City resources via webOMS and will coordinate with the CAISO. CONSULTANT will be notified by Garnet (for Garnet), San Dimas (for San Dimas) or sPower (for Big Sky) personnel with the following information for Forced/Planned/Testing outages via email sent to helpdesk@apx.com. Support and Maintenance. All Authorized Users will have access to the Contact CONSULTANT functionality within MarketSuite®. Support and maintenance service entitles City to access CONSULTANT City Services Manager via telephone or the City Services Manager email five (5) days a week, eight (8) hours a day (9am-5pm PT). CONSULTANT City site services, if necessary, shall be billed at CONSULTANT's rates for the service requested. EXHIBIT A-5 CAISO TAGGING SERVICES 22. CAISO Tagging Services: City will be responsible for the submission (creation) of e-tags for the imports that City is scheduling into the CAISO. 22.1 However, during the DA Scheduling Option, CONSULTANT Operations will submit any delayed e-tags saved by City personnel, when requested. During these events when City personnel will be out of the office, City personnel will create and pre-submit day-ahead schedules into CAISO’s SIBR system in advance. (a) AZUA_WESTWING500_I_F_SCPALL: If the Palo Verde schedule at Westwing is curtailed or de-rated due to transmission outages (MPP, MAP or Adelanto-Lugo) or Palo Verde unit de-rates, CONSULTANT is to coordinate the curtailment/de-rate with LADWP and the appropriate parties on City’s transmission path. (i) CONSULTANT is to curtail or de-rate City’s Westwing schedule accordingly in MarketSuite and tag any changes required. (ii) CONSULTANT, in the event of a transmission outage affecting the Westwing path, may 1) re-route the Palo Verde schedule to the Palo Verde tie under Resource ID (AZUA_PVWEST_I_F_LDWALL) or 2) sell the excess MW’s to a City Counterparty as a price taker, and CONSULTANT will call SRP or APS (or any of the remaining City Counterparties) to complete the transaction. CONSULTANT will adjust current schedule(s) via APX MarketSuite ®, adjust down, cancel and/or withdraw any AZUA_WESTWING500_I_F_SCPALL e -tags and provide the City Counterparty buyer the upstream path. CONSULTANT will log the transaction(s) and provide CITY with the e -tag number of the transaction(s) with the City Counterparty. (iii) Using the CAISO & ERCOT Scheduling Application of APX MarketSuite®, CONSULTANT is to change the real-time self-schedules for AZUA_WESTWING500_I_F_SCPALL to the new flow schedule for the immediate duration of the outage until Azusa personnel can implement the schedule changes on a day ahead basis. (b) AZUA_MEAD230_I_F_WALALL: If City’s Hoover schedule is curtailed or derated, CONSULTANT is to curtail or derate City’s Hoover schedule accordingly in APX MarketSuite® and tag any changes required. No rerouting of delivery is required. (i) Using the CAISO & ERCOT Scheduling Application of APX MarketSuite ®, CONSULTANT is to change the real-time self-schedules for AZUA_MEAD230_I_F_WALALL to the new flow schedule. See 22.5(ii) (ii) Once day ahead schedule is submitted there are rare circumstances the Hoover operator might reduce City’s flow due to water restrictions or turbine outages. If there is a transmission outage, either WAPA or ISO will cut the tag. CONSULTANT will log outage information and send the log to Azusa the next day. (c) MARKET TRANSACTIONS: From time to time City may have the need to use other Resource IDs to import its market transactions. If City’s Market Transaction location(s) (example: AZUA_PVWEST_I_F_APSALL) is curtailed or derated for a couple hours or for the balance of the day, CONSULTANT will allow the e-tag to be curtailed in real-time on an hourly basis. (i) If City’s Market Transaction location(s) is curtailed or derated for a future day-ahead trade date, CONSULTANT is to sell the MW’s to a City Counterparty as a price taker, and CONSULTANT will call SRP or APS (or any of the remaining City Counterparties) to complete the transaction. Set-Up Services. The Set-Up Services to be provided hereunder cover the necessary activities required to set-up SCID(’s) for City’s use for Tagging Services hereunder. The Set-Up Services will include the following: 23.1. City to provide to CONSULTANT Personnel a login and password to City’s OATI account. City of Azusa email contact information to enable CONSULTANT to set up automated communication(s) capabilities regarding potential tagging issues. 24. Support and Maintenance. All Authorized Users will have access to the Contact CONSULTANT functionality within APX MarketSuite®. Support and maintenance service entitles City to access CONSULTANT City Services Manager via telephone or the City Services Manager email five (5) days a week, eight (8) hours a day (9am-5pm PT). CONSULTANT City site services, if necessary, shall be billed at CONSULTANT's rates for the service requested. 25. City Obligations. Throughout the Term of this This Amendment 4, City shall: 25.1. To ensure authorized City personnel are available to CONSULTANT City Services Managers as needed. 25.2. Cooperate with data or action requests of CONSULTANT that are necessary to enable CONSULTANT to provide the Services hereunder; 25.3. Advise of any operational change in registration status, communication system degradation, or technical difficulties as soon as practicable after first notice of such events. 26. Fees and Payment. 26.1. Additional Fees. Should City request from CONSULTANT and CONSULTANT agree to provide additional services pursuant to this Amendment 4, the fee for such Additional Services shall be billed to City at the One-Time Fees rate. 26.2.
