PROVIDE THIRD PARTY ENVIRONMENTAL REVIEW CONSULTING
SERVICES FOR THE PROPOSED AZUSA GREENS PROJECT AT 919 W.
SIERRA MADRE AVE
BACKGROUND:
On July 14, 2023, the City Council approved a Professional Services Agreement (PSA) with
Michael Baker International (MBI) for third-party review of the environmental documents for the
Azusa Greens Redevelopment project. However, additional coordination and revisions beyond the
originally anticipated scope were required during the review process before releasing the Draft
EIR to the public. This extended review process has necessitated a PSA Amendment to include
the review of the Response to Comments, Findings, and Final EIR prior to the project proceeding
to a public hearing.
RECOMMENDATIONS:
Staff recommends that the City Council take the following actions:
1)Approve an Amendment to the Professional Services Agreement between the City and
Michael Baker International to include the additional scope of work described above, for
an amount not to exceed $13,060 (Task A and Contingency), increasing the total PSA
amount accordingly; and
2)Authorize the City Manager to prepare and execute the agreement, in a form acceptable
to the City Attorney on behalf of the City.

ANALYSIS:
The proposed Azusa Greens Redevelopment Project requires an Environmental Impact Report
(EIR) under the California Environmental Quality Act (CEQA). While the applicant’s consultant
is preparing the EIR, the City retains a third-party consultant to provide an objective review for
accuracy and CEQA compliance. Costs for these services are funded by the applicant through an
existing Reimbursement Agreement with the City.
The original PSA with Michael Baker International (MBI) covered third-party review of the EIR
and coordination with City staff on environmental review. This amendment allows for the
completion of the review process. The expanded scope includes review of the Draft and Final
Responses to Comments, the Mitigation Monitoring Program, Errata, and Findings, as well as a
contingency for additional support, if needed.
MBI has prior experience with proposals for this site and is included on the City Council-approved
Certified On-Call Environmental Consultant List (approved September 16, 2019).
FISCAL IMPACT:
All costs associated with the consultant’s project review and environmental document preparation
will be paid by the project applicant. There is no fiscal impact associated with the proposed
recommendations.

FIRST AMENDMENT TO OPERATING CONTRACT
FOR PROFESSIONAL SERVICES BETWEEN THE
CITY OF AZUSA AND MIG LLC.
ARTICLE 1. PARTIES AND DATE
This First Amendment to the Professional Service Agreement for Consulting Services
dated as of the August 14, 2025, is entered into by and between the City of Azusa (“City”) and
MIG Inc. (“Consultant”). City and Consultant are sometimes individually referred to herein as
“Party” and collectively as “Parties.”
ARTICLE 2. RECITALS
2.1 City and Consultant entered in the Professional Service Agreement for Consulting
Services dated August 14, 2025 (“Agreement”), whereby Consultant agreed to provide
professional services to the City regarding the Azusa Greens Redevelopment Project (“Project”)
located 919 W. Sierra Madre, Azusa, CA 91702. The term of the project began August 14, 2025
till August 14, 2027, unless earlier terminated.
2.2 The City and Consultant now desire to amend the Agreement to change the term,
and cost of the project as detailed in Exhibit A – Scope of Services.
ARTICLE 3. TERMS
3.2 Section 3.1.2 “Term” of the Agreement is hereby deleted in its entirety and
replace with a new Section 3.2.1 to read as follows:
“3.1.2 Term. The Term of this Agreement shall be from August 14, 202 to August
14, 2027, unless earlier terminated as provided herin. Consultants shall complete the Services
within the term of this Agreement, and shall meet any other established scheduled and deadlines.
The parties may, by mutual written consent, extend the term of this Agreement if necessary to
complete the Services.”
3.4 Continuing Effect of Agreement. Except as amended by this Amendment, all
provisions of the Agreement shall remain unchanged and in full force and effect. From and after
the date of this Amendment, whenever the term “Agreement” appears in the Agreement, it shall
mean the Agreement as amended by this Amendment.
3.5 Adequate Consideration. The Parties hereto irrevocably stipulate and agree that
the have each received adequate and independent considerations for the performance of the
obligations they have undertaken pursuant to this Amendment.
3.6 Counterparts. This Amendment may be executed in duplicate originals, each of
which is deemed to be an original, but when taken together shall constitute but one and the same
instrument.

Scope of Work
TASK A FINAL EIR REVIEW
Michael Baker will perform a comprehensive peer review of the Draft Response to Comments. Michael Baker’s review
will be intended to ensure responses are accurate, reasonable, and adequately respond to comments regarding the
adequacy of the IS/MND. This review will also include a thorough review of the Mitigation Monitoring Program and
Errata. The results of Michael Baker’s “first-round” peer review will be summarized in a memorandum and provided to
City staff for City/applicant-team review.
Michael Baker will perform a “second-round” peer review of the 2nd Draft Response to Comments, to ensure that all
first-round comments were adequately addressed. Similarly, a memorandum will be prepared documenting additional
comments or notations regarding comments that were not properly addressed.
CONTINGENCY
This task will accommodate any additional support that may be required after Michael Baker has reviewed the revisions
to the Final EIR based on our comments. This task will only be charged upon the express consent from the City of
Azusa.
