JOHNSON, DIRECTOR OF ADMINISTRATIVE SERVICES DATE: SEPTEMBER 15, 2025 SUBJECT: FIRST AMENDEMENT TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF AZUSA AND CINTAS CORPORATION FOR WORKPLACE FIRST AID AND AUTOMATED EXTERNAL DEFIBRILLATOR SERVICES BACKGROUND: On October 21, 2024, the City Council approved a Professional Services Agreement (PSA) with Cintas Corporation to provide workplace first aid supplies and automated external defibrillator (AED) equipment services. Risk Management Division Staff recently conducted a budgetary analysis to assess the paid costs associated with each departmental location based on their needs and specific operations along with additional locations that need first aid supplies and AED equipment. Due to the initial installation costs, the upward usage trend of first aid supplies, and to keep in compliance with Cal/OSHA, the recommended action is to approve an amendment to increase the annual blanket purchase amount by $20,000 and add two locations into the unified and centralized process per the PSA and balance the increased usage of first aid supplies and AED services. RECOMMENDATIONS: Staff recommends the City Council take the following actions: 1) Approve the First Amendment to the Professional Services Agreement with Cintas Corporation for Workplace First Aid and AED services from November 1, 2024, through November 1, 2027, with the option for two, one (1) year extensions in an amount not to exceed $50,000 annually; and 2)Authorize the City Manager to execute the First Amendment, in a form acceptable to the City Attorney, on behalf of the City. APPROVED CITY COUNCIL 9/15/2025 Professional Services Agreement Amendment - Cintas Corporation September 15, 2025 Page 2 ANALYSIS: Cintas Corporation, more specifically in their First Aid & Safety division, has extensive experience in providing first aid supplies and AED units along with performing audits in compliance with state law. Cintas First Aid & Safety has a team of highly experienced service professionals and stock supply of products, which allows the City to have access to a variety of services for each of its department’s varying needs. First Aid services needed throughout the year are difficult to estimate as injuries and incidents are unpredictable, and staff must have access and the ability to quickly use an array of first-aid supplies when needed. Contracting services allows for a timelier resolution of providing and auditing first aid supplies and AED units to ensure good record keeping and legal compliance. Staff recommends the City Council to approve the First Amendment to Professional Services Agreement with Cintas Corporation to increase the annual blanket purchase amount and add two new locations, the Public Works Yard Parks and Streets buildings, to ensure employees have the necessary first aid tools in case of an injury/incident. FISCAL IMPACT: An annual not-to-exceed blanket purchase order of $50,000 annually is requested as supplies and services will need to be replaced when used or expired. These costs for these services are budgeted in the current Fiscal year 2025-26 budget under the following Risk Management accounts: 42-50-923-000- 6399 – Professional Services/Other and 42-50-923-000-6563 – Supplies/Special.
